What Are First Year Accounts for a Micro Company, and Does That Framework Apply to Yours?

First year accounts are the first set of statutory accounts a limited company produces for its initial accounting period. That period normally starts on the date of incorporation and ends on the company’s first accounting reference date, which by default is the last day of the month in which the first anniversary of incorporation falls. Because of that, the first period is often longer than twelve months, which can affect how the figures are presented and how the period is treated for tax purposes. Preparing accounts is not optional simply because a company is new. Even where activity has been limited, statutory filing obligations can still apply, and the company’s circumstances — rather than an assumption about how busy it has been — determine what must be prepared and delivered. Filing is generally made to Companies House, and it is worth separating three distinct obligations. First-year statutory accounts are prepared for the members and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and the accounting information behind the accounts often feeds into it, but the two filings serve different purposes and go to different destinations. In most cases yes, and incorporation alone does not remove that requirement. What the accounts contain, and whether a simplified route is available, depends on the company's circumstances and the applicable rules. If the company has had no significant accounting transactions, there may be a dormant accounts route, but that is not automatic and should not be assumed. We look at your company's position before deciding how the first set of accounts should be prepared.

There is no single answer that fits every company. The due date follows from the company's incorporation date, its accounting reference date and the Companies House requirements that apply to a first filing, and a first set of accounts is generally given a longer filing window than later years. We confirm the date that applies to your company and work to it, rather than relying on a generic figure.
