First Year Accounts for Limited Company in St Helens — Prepared and Filed with Professional Support

If you have recently incorporated a company, your first set of statutory accounts is one of the earliest formal deadlines you will face. First Year Accounts for Limited Company in St Helens involves more than putting figures into a template: the initial accounting period, the accounting reference date and the applicable reporting framework all shape what needs to be prepared. Micro Entity Accounts works with directors of newly incorporated and newly trading limited companies to review the underlying accounting records, prepare the statutory accounts and file them with Companies House where required. Where a company also has Corporation Tax obligations, those are dealt with separately through HMRC, and a CT600 is not the same filing as the accounts delivered to Companies House. Our role is to make the process clear, accurate and properly documented from the outset.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in St Helens

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date, which Companies House sets when the company is formed. It is worth checking the exact dates on your company record, because a first accounting period can be longer or shorter than twelve months, and that affects what the accounts need to cover. Even a company that has only recently started trading, or has seen limited activity, may still need to prepare and file accounts. The fact that a company is new does not remove the filing obligation, and the first accounts are not optional simply because the company has a short trading history. The preparation work draws on the company’s accounting records — bank transactions, sales and income records, purchase invoices, expense receipts, asset purchases, director transactions, share capital details and any loans or finance arrangements. Where the company operates payroll or is VAT registered, those records form part of the picture too. From that information, the accounts are put together. A balance sheet is always required, showing the company’s assets, liabilities and shareholders’ funds at the period end. A profit and loss account is included where the applicable reporting framework requires one. Directors’ responsibilities also remain with the director, even when an accountant handles the preparation. Some companies may be eligible to report under the micro-entity framework, using FRS 105, the financial reporting standard applicable to qualifying micro-entity companies. Eligibility depends on the company meeting the relevant criteria for the accounting period in question, and it should be assessed rather than assumed. Plenty of newly incorporated companies do not qualify, and others may fall within the small-company regime instead. The right framework is a decision based on the company’s circumstances, not on how new it is. It is important to separate first year statutory accounts from other filings. The accounts, where required, are delivered to Companies House. A Corporation Tax Return such as a CT600 is submitted to HMRC, and the company’s first Corporation Tax accounting period may not line up exactly with its statutory accounts period. A confirmation statement is a third, separate filing that confirms the company’s registered information. Filing first year accounts does not complete any of those obligations for you. Each has its own purpose, destination and timing.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Get Your First Year Accounts Prepared Accurately and Filed Correctly

The first set of accounts often raises more questions than any other filing: which period do they cover, which framework applies, what has to go to Companies House, and how does it connect to Corporation Tax. If you are unsure whether your records are complete or whether your company meets the criteria for micro-entity reporting, it is far easier to sort that out before the accounts are finalised. Micro Entity Accounts supports directors of newly incorporated limited companies with first year accounts preparation, a review of the records behind them and filing with Companies House where required. Because we work on these filings regularly, we can flag gaps early, explain what the figures mean and help you understand which other obligations — such as a CT600 or a confirmation statement — still sit separately with HMRC or Companies House.

They are the first set of statutory annual accounts a company prepares, covering its initial accounting period. That period usually runs from the incorporation date to the company's first accounting reference date. Depending on the reporting framework that applies, the accounts will include a balance sheet and, where required, a profit and loss account, along with any notes needed. They are prepared from the company's accounting records and are delivered to Companies House where required.

The deadline depends on your company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not the same for every company. Companies House generally allows a longer period for a first set of accounts than for later years, but the exact date should always be checked against your own company record rather than assumed. We can confirm the position for your company and work to that date.

It depends on what your company has done during the period. Typically we would look at bank statements and transactions, sales or income records, purchase invoices and expense receipts, details of any assets bought or sold, share capital information, director loans or other transactions, and any loans or finance agreements. Payroll and VAT records may also be relevant where those apply. If your records are incomplete, we can help you identify what is missing before the accounts are prepared.

In most cases, yes, a limited company is expected to prepare and file statutory accounts with Companies House where required, even if it has only recently been incorporated. Having limited activity or not yet having started trading does not automatically remove that obligation, and the position depends on the company's circumstances and the applicable rules. Directors of new companies in St Helens often assume nothing is due in year one, which is why it is worth checking early.

No. They are separate filings with different purposes and different destinations. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The two can draw on the same accounting information, but filing your accounts does not submit a Corporation Tax Return, and submitting a CT600 does not complete your Companies House filing.

It may do, if it meets the eligibility requirements for the relevant accounting period. Micro-entity status is not automatic for newly incorporated companies, and a low turnover alone does not confirm eligibility. Qualifying entities can use FRS 105, the financial reporting standard applicable to the micro-entity framework, which allows for simplified reporting. We assess eligibility based on your company's circumstances and confirm which framework is appropriate before preparation begins.

No, they are separate requirements. A confirmation statement confirms that the information Companies House holds about your company is correct, while first year accounts report the company's financial position for its initial accounting period. Filing one does not satisfy the other, and a company may need to deal with both. It is worth keeping your registered details up to date at the same time as preparing your first accounts.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, which may include penalties that increase the longer the filing remains outstanding. Paying a penalty does not remove the requirement to file the accounts themselves. If your accounts are already overdue, the priority is to get accurate accounts prepared and submitted. Appeal eligibility depends on the circumstances and the applicable rules, so it is worth taking advice rather than assuming.
