First Year Accounts for Limited Company in Southampton: Professional Preparation and Filing Support

If your company has recently been incorporated, its first set of statutory accounts is one of the earliest significant compliance tasks you will deal with. We help directors of newly incorporated and newly trading limited companies in Southampton with First Year Accounts for Limited Company reporting periods — reviewing the accounting records you hold, preparing the balance sheet and, where applicable, a profit and loss account, and then supporting the filing of those accounts with Companies House where required. It is worth keeping in mind that Corporation Tax is a separate matter: a company may also need to prepare and submit a CT600 to HMRC, and the two filings have different purposes and different destinations. Whether the first accounting period has been busy or relatively quiet, the objective is accounts that are accurate, complete and prepared under the framework that applies to your company.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? Understanding First Statutory Accounts in Southampton

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. When a company is incorporated, Companies House records an accounting reference date for it, and the first accounting period generally runs from incorporation — or from the date the company began trading, depending on its circumstances — through to that reference date. The first period is frequently longer than twelve months, which is one reason the first set of accounts does not always follow the same rhythm as later years. It is worth confirming your own company’s accounting reference date and accounting period rather than assuming a standard pattern applies. These accounts are not optional simply because the company is new. Directors remain responsible for keeping adequate accounting records and for making sure the company meets its statutory obligations, and the first-year statutory accounts are generally delivered to Companies House where required. Companies House does not prepare the accounts and it does not approve them in any professional or regulatory sense — it receives and registers them. Several other obligations are often confused with this one. A Corporation Tax Return, such as a CT600, is submitted to HMRC and is a separate filing with a separate purpose. The first Corporation Tax accounting period and the statutory accounts period are not necessarily identical. A confirmation statement is separate again, confirming the company’s registered details rather than reporting financial results, and filing accounts does not replace it. Directors of newly incorporated companies in Southampton sometimes assume a micro-entity framework applies automatically. It does not. A company may be able to report under the micro-entity framework, prepared under FRS 105, if it meets the eligibility conditions for the relevant accounting period, but eligibility depends on the company’s size, turnover, balance sheet total, employee numbers and other applicable criteria. The appropriate framework should be confirmed before preparation begins. Where a company has had little or no activity, its reporting position depends on its particular circumstances and the applicable rules rather than being automatically treated as dormant.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of statutory accounts a company prepares for its initial accounting period, covering the period from incorporation (or from when trading began, depending on the company's circumstances) up to its accounting reference date. They typically include a balance sheet and, where applicable, a profit and loss account and supporting notes, and they are generally filed with Companies House where required. They are prepared from the company's accounting records and should reflect the framework the company is eligible to use.

The timing depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not something to estimate from a general rule of thumb. The first accounting period often runs for longer than twelve months, which is why the first filing date does not always follow the same pattern as later years. Check the accounting reference date and filing deadline shown on your Companies House record, or ask us to confirm what applies to your company.

It depends on what the company has done during the period. Commonly needed records include bank transactions and statements, sales and income records, purchase invoices and business expenses, details of any assets bought, director transactions and loans, share capital information, and any payroll or VAT records where those apply. If some of these are missing or incomplete, that is not unusual in a first year — we can review what you have and explain what else is needed.

Where the company is required to file statutory accounts, yes — being newly incorporated does not remove that obligation, and it applies even where the company's activity has been limited. Companies House receives and registers the accounts; it does not prepare them, and it does not professionally or regulatorily approve them. Filing accounts with Companies House is also not the same as submitting a Corporation Tax Return to HMRC, which is a separate requirement where it applies.

No. First-year statutory accounts are prepared for the company and generally delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. Information from the accounts may be used when working out the company's tax position, but the two filings have different purposes and go to different destinations, and completing one does not complete the other. The first Corporation Tax accounting period may also differ from the statutory accounts period.

It may be able to, but not automatically. Micro-entity reporting under FRS 105 is available to entities that meet the applicable eligibility conditions for the relevant accounting period, which depend on factors such as turnover, balance sheet total and employee numbers. A new company with low activity does not qualify simply because it is small or newly formed. The right framework should be confirmed against your company's own circumstances before the accounts are prepared.

No. A confirmation statement is a separate filing that confirms the company's registered details, such as directors, shareholders and registered office, are up to date. It does not report financial results, and filing first-year accounts does not remove the need to submit one where it is due. Directors of companies in Southampton often deal with both around the same period, so it helps to track them as distinct obligations.

If required accounts are delivered after the applicable deadline, Companies House can apply late filing consequences, and the outcome depends on how late the accounts are and the company's circumstances rather than being identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. Where there is a genuine reason for the delay, appeal eligibility depends on the circumstances and the applicable rules. Directors remain responsible for ensuring the filing is made, even when an accountant is engaged to help prepare it.
