First Year Accounts for Limited Company in South Woodford – Prepared, Reviewed and Filed With Professional Support

Your company’s first accounting period is a milestone that comes with real statutory obligations, and getting the first set of figures right makes later years far easier to manage. Micro Entity Accounts helps newly incorporated and newly trading limited companies in South Woodford prepare their first year accounts properly: we review your accounting records, build the statutory accounts for the period, and support you with filing them at Companies House where required. We also help directors understand which reporting framework is appropriate for their circumstances. Where Corporation Tax applies, that is a separate matter handled through HMRC, usually by way of a CT600, and it is not submitted by filing accounts at Companies House. If you are unsure what your first accounting period covers or what information you need to gather, we can work through it with you.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in South Woodford

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the date the company began trading where that differs, through to the company’s first accounting reference date. Every limited company has a statutory duty to prepare accounts for each financial period, and that duty begins with the first period. It does not wait until a company has been trading for a full year, reached a particular turnover level or grown beyond a certain size. The accounting reference date is set when the company is incorporated and is normally linked to the anniversary of the month of incorporation. Companies House holds that date on the public register, and the first accounting period is measured against it. For that reason, a first period can be longer or shorter than the twelve months most later periods will cover. A director in South Woodford should therefore check the dates that apply specifically to their own company rather than assume a standard pattern. Preparing the accounts means reviewing the company’s accounting records and producing the statements the applicable framework requires. That normally includes a balance sheet, a profit and loss account where the framework calls for one, any supporting notes and the directors’ statement. Once the directors have approved the accounts, they are delivered to Companies House where required. Companies House does not prepare the accounts and does not professionally approve them; filing is a delivery and disclosure process. A company that meets the eligibility conditions for the relevant accounting period may be able to report as a micro-entity under FRS 105, which is the financial reporting standard applicable to qualifying entities using the micro-entity framework. Qualification is not automatic. A company does not become a micro-entity simply because it is new, quiet or small in its first year. Eligibility depends on the company’s circumstances and the requirements that apply to that period, so the correct framework should be confirmed before the accounts are drawn up. It also helps to keep first year accounts distinct from other compliance tasks. A Corporation Tax Return, such as a CT600, is submitted to HMRC rather than to Companies House, and a company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a separate filing that confirms the company’s registered information. Preparing and filing first year accounts does not by itself complete those other obligations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

They are the first set of statutory accounts a limited company prepares, covering its initial accounting period. That period runs from incorporation, or from the date the company began trading where that is different, up to the company's first accounting reference date. The accounts are drawn up from the company's accounting records and typically include a balance sheet, a profit and loss account where the applicable framework requires one, any notes and the directors' statement. Once approved by the directors, they are delivered to Companies House where required. You may also hear them described as first statutory accounts or first year company accounts.

The deadline depends on your company's incorporation date and its accounting reference date, so there is no single date that applies to every new company. Companies House sets the first accounting reference date when the company is incorporated, and the filing deadline is calculated from that. Because a first accounting period can be longer or shorter than twelve months, it is worth checking the dates recorded for your own company rather than relying on a general rule. If you are unsure what applies to you, an accountant can confirm the position from your Companies House record.

It depends on what your company has actually done, but directors in South Woodford typically provide bank statements and transaction records, sales and income records, purchase invoices and expense receipts, details of any assets purchased, share capital information, and records of any director's transactions or loans. Where the company runs payroll or is registered for VAT, those records may also be relevant. Not every company will have all of these. If activity has been limited, the records needed will be limited too, and we can tell you what is relevant to your circumstances.

First year statutory accounts are generally delivered to Companies House where required, and the obligation is not removed simply because the company is new, has had limited activity or has not yet started trading. There are different reporting routes depending on the company's position, including where a company has had no significant accounting transactions, but whether a particular route applies depends on the applicable rules and the company's circumstances rather than being assumed. It is not automatically correct to treat a quiet new company as dormant, so it is worth taking advice before deciding.

No. They are separate filings with separate destinations. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The two are prepared from much of the same underlying accounting information, but filing accounts at Companies House does not submit a CT600, and filing a CT600 does not complete the Companies House accounts requirement. The company's first Corporation Tax accounting period may also differ from its statutory accounts period, so both should be reviewed together.

Some newly incorporated companies may qualify to report as micro-entities if they meet the applicable eligibility requirements for the relevant accounting period. Qualification is not automatic, and a company does not qualify simply because it is newly formed, has low turnover or has had little activity. Where a company does qualify, FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity framework. The appropriate framework should be determined from the company's own circumstances and the requirements in force for that period before the accounts are prepared.

No. They are two different filings. A confirmation statement confirms the company's registered details, such as its directors, registered office and share information, and it is filed separately from the accounts. Delivering first year accounts to Companies House does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement. A limited company may still need to submit confirmation statements and keep its Companies House information up to date, so it is worth tracking the two separately.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can vary depending on the circumstances and how late the filing is. Paying any penalty does not remove the requirement to file the outstanding accounts. Where a company believes there were valid reasons for the delay, the availability of any appeal or remedy depends on the applicable rules and the specific facts. The practical priority is usually to get accurate accounts finalised and delivered, and directors in South Woodford can seek professional support to resolve an overdue filing.
