First Year Accounts for Limited Company in Poole: Prepared, Reviewed and Filed

Incorporating a limited company in Poole brings statutory reporting duties from the outset, and the opening set of accounts is often the one directors feel least prepared for. Our First Year Accounts for Limited Company service covers the practical work: reviewing your accounting records, preparing the statutory accounts for the company’s first accounting period, and filing them with Companies House where required. Corporation Tax is handled separately — a return such as a CT600 is submitted to HMRC rather than Companies House — and we can help you see how the figures in your accounts feed into that process.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and How Does the Opening Period Work?

First year accounts are the first set of annual statutory accounts a newly incorporated limited company prepares. They cover the company’s initial accounting period, which runs from incorporation up to the company’s accounting reference date. Because that opening period is not always a neat twelve months, the accounts for a first year can span longer or shorter than a normal annual period depending on the incorporation date and the accounting reference date recorded at Companies House. The accounts are prepared from the company’s accounting records and typically include a balance sheet, a profit and loss account where applicable, and supporting notes. Once prepared, they are delivered to Companies House where the company is required to file them, and the directors remain responsible for making sure that happens. Some companies qualify to report under the micro-entity framework, which uses FRS 105, the financial reporting standard applicable to qualifying entities. That is not automatic for a new company, a startup or a company with modest turnover — eligibility has to be tested against the applicable criteria for the relevant accounting period, and the right framework depends on the company’s circumstances. It is also worth separating the paperwork clearly: first year statutory accounts are not a Corporation Tax Return, and a CT600 goes to HMRC rather than Companies House. A confirmation statement is a third, separate filing, used to confirm that the details Companies House holds about the company are current. Where a company has had little or no activity, its reporting position still depends on its own circumstances and the applicable rules rather than being treated as dormant by default.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

First Year Accounts for Limited Company in Poole — Get the Opening Period Right

First year accounts can be an awkward piece of work to tackle alone, particularly when you are unsure which figures belong in the accounts, what records are still missing, or which reporting framework your company can properly use. Micro Entity Accounts works with newly incorporated limited companies and their directors, helping to gather and review the accounting records, prepare the statutory accounts for the opening period, and file them with Companies House where required. If your company’s first accounts are approaching, or you would simply rather know what is expected before the deadline arrives, getting professional support in place early is far easier than correcting an incomplete filing afterwards.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period from incorporation through to its accounting reference date. They are drawn up from the company's accounting records and typically include a balance sheet, a profit and loss account where applicable, and supporting notes. Later years follow the same principle but cover a standard annual period, whereas the opening period can be longer or shorter depending on the incorporation date and the accounting reference date. They are separate from a Corporation Tax Return and from a confirmation statement.

The due date depends on the company's accounting reference date, the length of the opening period and the Companies House filing rules that apply — the first accounts deadline is measured differently from later years. Rather than working from an assumed date, check the accounting reference date recorded at Companies House and the specific deadline attached to your company. It is worth noting that HMRC's first Corporation Tax accounting period is usually measured from when trading begins, so it may not line up exactly with the statutory accounts period. We can confirm the relevant dates once we have your company details.

Broadly, anything that records the company's financial activity for the period: bank statements and transactions, sales and income records, business expense receipts, purchase invoices, details of any assets purchased, director loans or transactions, share capital information, and payroll or VAT records if the company is registered for either. Not every company will have all of these — a newly incorporated company with limited activity may have very little to hand over. Complete records generally make preparation more straightforward, and we can flag any gaps before work starts.

A limited company generally has to prepare and deliver statutory accounts to Companies House for its first accounting period where required, including where trading has been limited or has not yet started. Whether the company can file as dormant depends on its circumstances and the applicable rules, not simply on whether it has made sales. Filing the accounts also does not discharge other obligations, such as keeping adequate accounting records, submitting a confirmation statement when due, or dealing with Corporation Tax where the company has a liability.

No. Statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC, and the two serve different purposes. The figures in your accounts often support the tax return, but filing one does not complete the other, and the relevant deadlines can differ. If your company has Corporation Tax obligations, both filings need space in your compliance calendar, and it helps to plan for them together.

Some newly incorporated companies do qualify for the micro-entity framework, which uses FRS 105, but it is not something that applies automatically. Eligibility depends on the company meeting the applicable criteria for the accounting period in question, which consider factors such as balance sheet total, turnover and employee numbers. Being newly incorporated, having low turnover or being a startup is not enough on its own. We assess the position against the requirements before deciding which framework to prepare the accounts under.

No, they are separate filings with different purposes. A confirmation statement confirms that the information Companies House holds about the company — directors, registered office, share capital and similar details — is up to date, while the first-year accounts report the company's financial position for its opening period. A company may need to submit both, and one does not satisfy the other. Keeping the Companies House record accurate is worthwhile, as changes to share capital or company details can affect how the accounts are presented.

Filing after the applicable deadline can lead to consequences from Companies House, which may include a late filing penalty. The outcome depends on the circumstances and on how late the accounts are, and paying a penalty does not remove the requirement to file the outstanding accounts. Where an appeal is being considered, eligibility depends on the reasons for the delay and the applicable rules. Our focus is on preparing the accounts properly and helping directors in Poole keep track of the dates that apply to them.
