First Year Accounts for Limited Company in Pontypool, Prepared Properly from the Start

Your first set of statutory accounts is a milestone every newly incorporated company has to deal with, and it often arrives sooner than directors expect. Micro Entity Accounts supports limited companies in Pontypool with the preparation of those first-year accounts, reviewing the accounting records behind them and delivering them to Companies House where required. We also help directors understand how that filing fits alongside the company’s wider obligations, including any separate Corporation Tax or CT600 position that sits with HMRC rather than Companies House.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Why Do They Matter?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. They generally cover the period running from incorporation, or from the point the company began trading where that is different, through to the company’s first accounting reference date. Because that opening period is rarely a neat twelve months, the incorporation date and the accounting reference date are both central to working out which period the accounts cover and when they need to be delivered. Every UK limited company, including companies incorporated here in Pontypool, has a statutory duty to prepare accounts and to file them with Companies House where required. That duty does not disappear simply because the company has only recently been set up or has seen limited activity. Where a company has had few or no accounting transactions, its reporting position depends on its own circumstances and the applicable rules rather than being automatically described as dormant. Some companies will be able to prepare accounts under the micro-entity framework. This uses FRS 105, the financial reporting standard applicable to qualifying entities that meet the micro-entity eligibility conditions for the relevant accounting period. Eligibility depends on the company’s size and circumstances, so it should be confirmed rather than assumed. A newly incorporated company is not automatically a micro-entity, and low turnover on its own does not settle the question. Companies that do not qualify for the micro-entity framework may still fall within the small company regime, subject to the applicable requirements. It is also worth being clear about what first-year accounts are not. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and a company’s first Corporation Tax accounting period may not line up exactly with its statutory accounts period. A confirmation statement is a separate filing again, keeping the public register up to date. Filing first-year accounts does not remove the need for those other obligations, and it does not mean Companies House has reviewed or approved the figures.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

They are the first set of statutory annual accounts your company prepares for its initial accounting period. That period usually starts on incorporation, or on the date the company began trading where that differs, and ends on the company's first accounting reference date. The accounts typically include a balance sheet and, where applicable, a profit and loss account, along with the notes and statements required under the reporting framework the company uses.

It depends on your company's incorporation date and its accounting reference date. Companies House normally allows a longer filing period for a first set of accounts than for later years, but the exact date is specific to your company, so it is worth confirming rather than estimating. If you are unsure what applies to your company, we can check the position and explain the date that applies to you.

In practice, we usually need your bank transactions, sales and income records, business expenses, purchase invoices, details of any assets bought, director transactions and loans, share capital information, and payroll or VAT records where those apply. Not every company will have all of these. If your records are patchy, we can talk through what exists and what still needs to be pulled together.

A company still has statutory accounts obligations even where it has had limited activity or has not yet started trading, so it should not be assumed that nothing needs to be filed. Whether the company is genuinely dormant, and what that means for its reporting, depends on its specific circumstances and the applicable rules. Our advice for directors in Pontypool is to check the position early rather than assume the first year can be skipped.

They follow the same statutory principles, but the first set covers the company's opening period, which is often longer or shorter than a standard twelve months. Later annual accounts usually cover a full year. The first set also establishes the figures that subsequent periods are compared against, so getting the opening position right matters.

No. Statutory accounts go to Companies House where required, a Corporation Tax Return such as a CT600 goes to HMRC where the company has Corporation Tax obligations, and a confirmation statement is a separate Companies House filing that keeps the register up to date. The figures in your accounts often feed into the Corporation Tax position, but the filings have different purposes and different destinations, and completing one does not complete the others.

Some newly incorporated companies do qualify for the micro-entity framework, and where that applies the accounts are prepared under FRS 105. Eligibility depends on the company's size and circumstances for the relevant accounting period, so it cannot be assumed. We assess this as part of the accounts preparation work and confirm which framework is appropriate before anything is finalised.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not necessarily the same in every case. Paying any penalty does not remove the obligation to file the outstanding accounts. If your accounts are already overdue, the priority is to get accurate accounts prepared and delivered, and we can help you understand the position and what steps come next.
