First Year Accounts for Limited Company in Ponteland — Statutory Accounts Prepared and Filed Properly

The first set of statutory accounts is a milestone for any newly incorporated company, and it is usually the point where directors realise just how much detail sits behind a simple balance sheet. Micro Entity Accounts works with limited companies in Ponteland to prepare that first set of accounts, starting with a review of the underlying accounting records — bank transactions, income, business expenses, asset purchases, director transactions and share capital — and finishing with accounts filed at Companies House where required. We will explain how the company’s first accounting period has been set, which reporting framework is likely to apply, and what the directors are signing up to. We also keep the boundaries clear: your Corporation Tax position, including a CT600, is dealt with separately and submitted to HMRC rather than Companies House, so nothing gets confused along the way.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. Alongside the figures themselves, most sets will include a balance sheet, supporting notes, and a profit and loss account where the applicable framework calls for one. They are a statutory requirement rather than an optional exercise, and they remain a requirement even where a company has had a quiet start. The first accounting period is set by reference to the company’s incorporation date and its accounting reference date. The initial period does not always run for a standard twelve months, which is one reason first year accounts can look slightly different from the annual accounts a company files later on. That is also why the filing deadline for the first set is not automatically the same as for subsequent years — it depends on the incorporation date, the accounting reference date and the applicable Companies House requirements. Where a company qualifies, it may be able to report under the micro-entity framework using FRS 105, the financial reporting standard for qualifying entities that prepares accounts under that framework. Eligibility is not automatic for new companies, for startups, or simply because turnover is modest; it depends on meeting the applicable criteria for the relevant accounting period. The correct framework should therefore be confirmed before preparation begins. It is worth separating three things that often get bundled together. First year statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the accounting period used for Corporation Tax may not be identical to the statutory accounts period. A confirmation statement is a separate Companies House filing that keeps the public register up to date. Completing one does not complete the others, and filing the accounts does not mean the company’s wider compliance work is finished.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

First Year Accounts for Limited Company in Ponteland — Let Them Be Prepared Correctly the First Time

Most directors of a newly incorporated company are working from a blank page: no previous year to compare against, no clear idea of what the first accounting period looks like, and no certainty about which reporting framework applies. That uncertainty is easy to resolve. Micro Entity Accounts prepares first year statutory accounts for limited companies, reviews the records you hold, works through the practical questions — share capital, director loans, asset purchases, expenses and any income — and handles filing with Companies House where required. We will also tell you plainly when a Corporation Tax Return or CT600 is a separate matter for HMRC and when a confirmation statement still needs attention. Send over your records and let us take the preparation and filing from there.

They are the first set of annual statutory accounts a company prepares for its initial accounting period, covering the period from incorporation to its accounting reference date. They normally include a balance sheet, notes, and a profit and loss account where the applicable framework requires it. They are a legal obligation, not something a company can skip because it is new or has only recently started operating.

The deadline depends on the company's incorporation date and its accounting reference date, and the first set often follows different timing rules to later years. Rather than guess, it is worth checking the deadline Companies House has recorded for your company, or asking us to confirm it before the accounts are prepared. We can build the preparation around that date so nothing is left to the last minute.

Usually the company's bank transactions for the period, details of any income or sales, business expenses and purchase invoices, asset purchases, director transactions and loans, share capital information, and any payroll or VAT records where those apply. Not every company will have all of these. If you hold incomplete records, we can still work with what is available and talk you through what needs to be tidied up first.

In many cases yes. A company generally has accounts filing obligations from the point it is incorporated, whether or not it has begun trading, although the exact position depends on the company's circumstances and the applicable rules. Having very few transactions does not automatically make a company dormant, and dormant status has its own conditions. If your Ponteland company has been quiet since incorporation, it is worth confirming the reporting position rather than assuming nothing is due.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts are often used as a starting point when working out the company's tax position, but the two filings serve different purposes, go to different bodies, and may even cover slightly different periods. Filing one does not complete the other.

No. A confirmation statement is a separate Companies House filing that confirms the information held on the public register, such as registered office details, directors and share capital. It is not replaced by filing accounts, and the two have their own requirements and timescales. Keeping both up to date avoids unnecessary correspondence from Companies House.

Some newly incorporated companies do qualify to report as micro-entities under FRS 105, but eligibility is assessed against the applicable criteria for the relevant accounting period and is not automatic. A company is not automatically a micro-entity simply because it is new, small, or has low turnover. We check eligibility as part of preparing the accounts and use the framework that is appropriate for your company.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and paying any penalty that arises does not remove the need to file the outstanding accounts. The outcome varies depending on how late the filing is and the company's filing history, so it is difficult to generalise. If accounts are already overdue, the priority is to get them prepared and delivered, and we can assist with that.
