First Year Accounts for Limited Company in Plymouth — Prepared, Reviewed and Filed With Support

If you have recently incorporated a company and are not yet sure what its first set of statutory accounts involves, Micro Entity Accounts can help. We work with newly incorporated and newly trading limited companies in Plymouth to prepare first year statutory accounts, review the accounting records behind them and file with Companies House where required. We also explain how the first accounting period works in your company’s case, which reporting framework may apply, and how accounts filing sits separately from a Corporation Tax Return such as a CT600, which is submitted to HMRC rather than Companies House. Directors remain responsible for the company’s statutory obligations, and our role is to support them with accurate preparation, clear explanations and straightforward filing.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

What Are First Year Accounts for a Micro Company and Why New Plymouth Companies Need Them

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period and are prepared under the reporting requirements that apply to that company, then delivered to Companies House where required. For a company incorporated in Plymouth, this is often the first formal financial reporting task the directors face, and it sets the pattern for every set of accounts that follows. The first accounting period normally starts on the date of incorporation and runs to the company’s first accounting reference date. Because that date is determined by the incorporation date and the month in which the company was formed, the first period is not always exactly twelve months — it can be shorter or longer than a full year. That is one practical reason first-year accounts can look different from the annual accounts prepared in later periods, and why it is worth checking the company’s own dates rather than assuming they follow the same pattern as another business. Some companies may be able to prepare accounts under the micro-entity accounting framework if they meet the eligibility requirements for the relevant accounting period. Where a company qualifies, FRS 105 — the financial reporting standard for qualifying entities using the micro-entity framework — can allow a simpler balance sheet and a reduced set of notes. Eligibility is not automatic and does not follow from being newly incorporated or from having low activity on its own. It depends on the company’s circumstances and the thresholds that apply for the period in question, and the same is true of the small company regime. Part of our work is confirming which framework actually applies before anything is drafted. It also helps to keep the different filings apart. A Corporation Tax Return such as a CT600 is submitted to HMRC, not Companies House, and a company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a separate Companies House filing that confirms the company’s registered information is up to date. Filing first-year accounts does not automatically complete either of those obligations, and vice versa. Directors remain responsible for keeping adequate accounting records and for ensuring the company meets its filing obligations. Bank transactions, sales and income records, purchase invoices, expense receipts, asset purchases, director loan movements, share capital details and, where relevant, payroll or VAT records all help the accounts to be prepared accurately. We review what is available, raise anything that looks incomplete, and prepare the accounts for the directors to review and approve before filing where required.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Get Your First Year Accounts for Limited Company in Plymouth Prepared Properly

The first year is often the point at which directors realise they are not certain what has to be filed, by when, or under which reporting framework. If that sounds familiar, Micro Entity Accounts can take the preparation and filing of your first year statutory accounts off your desk. We review your accounting records, prepare the accounts on the basis that applies to your company, explain what you are being asked to approve, and file with Companies House where required — while being clear about which obligations sit with HMRC, such as a CT600, and which sit with Companies House. If you are a director of a newly incorporated company in Plymouth and would rather have the first set of accounts handled accurately from the outset, get in touch and we will talk you through what is involved for your company.

They are the first set of annual statutory accounts a company prepares after incorporation, covering its initial accounting period. They are prepared from the company's accounting records and delivered to Companies House where required. They are a statutory reporting obligation rather than an optional exercise, even where trading has been limited.

The due date depends on the company's incorporation date and its accounting reference date, so it is not the same for every company. Companies House sets the filing deadline by reference to those dates, and the first accounting period can be shorter or longer than twelve months. We check the company's own record rather than applying a general rule of thumb.

It depends on what the company has done. Typically we ask for bank statements covering the period, sales and income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director loan movements and, where applicable, payroll or VAT records. If the company has had very little activity, that usually means less to review rather than nothing to report.

In most cases yes, a limited company has statutory accounts filing obligations from incorporation, even if it has not started trading. Where a company has had no significant accounting transactions, the correct reporting position depends on its specific circumstances and the applicable rules — it is not automatically treated as dormant. Directors in Plymouth should check the position rather than assume no filing is needed.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC. The figures in the accounts may inform the Corporation Tax position, but the two filings serve different purposes, go to different bodies and are governed by different deadlines. Completing one does not complete the other.

No, they are entirely separate filings. The confirmation statement confirms the company's registered details at Companies House, while the accounts report the financial position for the accounting period. A company may need to submit both, and keeping the Companies House record accurate is a continuing obligation.

It may do, but eligibility is not automatic and does not follow simply from being newly incorporated or from having low turnover. Whether the micro-entity framework applies depends on the company's circumstances and the eligibility requirements for the relevant accounting period. Where it does apply, FRS 105 is the standard used by qualifying entities, and we confirm the framework before preparing anything.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the position is not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If a filing is at risk of being late, or a deadline has already been missed, it is worth speaking to us early so the position can be reviewed and the outstanding accounts prepared.
