First Year Accounts for Limited Company in Peacehaven — Prepared and Filed Properly

A company’s first set of statutory accounts carries more weight than most directors expect. Micro Entity Accounts supports newly incorporated and newly trading limited companies in Peacehaven with the preparation and filing of First Year Accounts for Limited Company purposes — reviewing your accounting records, drafting the balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. Where your company also has Corporation Tax obligations, we can help you see how the figures from the accounts inform a CT600, which is a separate return submitted to HMRC and not part of the Companies House filing. Directors stay responsible for the company meeting its obligations, but professional support removes much of the uncertainty around that first accounting period.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Accounting reference date

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Peacehaven

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period, covering the period from incorporation, or from the date the company began trading, up to its first accounting reference date. They are not optional. Even a company that has been quiet since incorporation will usually have a statutory reporting position, and a director cannot simply set the matter aside because trade has not started or activity has been limited. The first accounting period does not look the same for every company. Its length and end date depend on the incorporation date and the accounting reference date that Companies House records for the company. That is why the first period is often different in length from later accounting periods, and the filing deadline that applies to it can differ too. The right approach is to check the company’s own dates rather than assume a standard pattern. Where a company meets the applicable eligibility requirements for the relevant accounting period, it may qualify to report as a micro-entity. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework, and it permits a more streamlined set of accounts. Eligibility is not automatic — it depends on the company’s size and circumstances — so the reporting framework should be confirmed before preparation begins rather than assumed. It also helps to separate the pieces. Statutory accounts are prepared and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a third, separate filing that keeps the public register up to date. Dealing with one does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

They are the company's first set of annual statutory accounts, covering its initial accounting period. That period normally runs from incorporation, or from the date trading began, to the company's first accounting reference date. The accounts typically include a balance sheet, and a profit and loss account where applicable, and they are delivered to Companies House where required.

The deadline depends on the company's incorporation date and its accounting reference date, so it varies between companies. The first accounting period is often longer than twelve months and its filing deadline can differ from the deadline that applies in later years. We check the specific dates recorded for your company rather than applying a general rule of thumb.

Usually bank statements and transaction records, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director loans or other finance, and payroll or VAT records where those apply. Not every company will have all of these, so the list is tailored to what the business has actually done since incorporation.

In most cases yes, even where the company has had limited activity or has not yet started trading. Whether accounts are prepared on a normal trading basis or on a dormant basis depends on the company's circumstances and the applicable rules, so it is worth confirming your position rather than assuming nothing needs to be filed.

No. Statutory accounts are prepared for the company's members and filed with Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC, and it is a separate filing with a separate purpose. Figures from the accounts are often used when preparing the Corporation Tax position, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

Some newly incorporated companies do qualify, but it is not automatic. Eligibility depends on the applicable criteria for the relevant accounting period, and a low level of activity or turnover on its own does not settle the question. Where a company does qualify, FRS 105 is the financial reporting standard used under the micro-entity framework, and it allows a simplified format.

No, they are separate obligations. The confirmation statement is a Companies House filing that confirms the company's registered details are correct, while first year accounts report the company's financial position for its initial accounting period. Submitting one does not satisfy the other, and companies in Peacehaven may need to deal with both in the same period.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not the same in every case. Paying any penalty does not remove the need to file the outstanding accounts. If a penalty is issued, whether an appeal is available depends on the circumstances and the applicable rules.
