First Year Accounts for Limited Company in Oxted — Prepared and Filed With Professional Support

Your company’s first set of statutory accounts is a milestone, but it also comes with responsibilities that begin long before the year end. Micro Entity Accounts helps newly incorporated and newly trading limited companies in Oxted prepare their First Year Accounts for Limited Company purposes — building the figures from your accounting records, drafting a balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. We also review the records you hold as a director and flag anything that needs tidying before the figures are finalised. Where Corporation Tax applies, that is a separate obligation handled through HMRC, typically by way of a CT600 return, and we can explain how the two processes sit alongside each other without confusing one for the other.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the initial set of statutory accounts a limited company prepares for its first accounting period. That period normally begins on the date the company was incorporated, although the exact start and end points depend on the company’s accounting reference date and any changes made to it, so two companies incorporated in the same month will not necessarily share the same first reporting period. The accounts themselves are drawn from the company’s accounting records — bank transactions, sales and income, expenses, purchase invoices, asset purchases, director transactions, share capital, loans and, where relevant, payroll or VAT records — and typically include a balance sheet, together with a profit and loss account where the reporting framework requires one. Directors remain responsible for ensuring the accounts are prepared and filed, even where an accountant does the work. Once prepared, the accounts are generally delivered to Companies House where required for that period. Some newly incorporated companies may be eligible to report under the micro-entity framework, with FRS 105 being the financial reporting standard applicable to qualifying entities that use it, but eligibility depends on the company’s circumstances and the applicable requirements for the relevant accounting period rather than on the company simply being new. First year accounts are not the same as a Corporation Tax Return, which is submitted separately to HMRC, and they are not the same as a confirmation statement, which keeps Companies House informed about the company’s officers, shareholders and registered details.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of statutory accounts your company prepares for its initial accounting period — the period that generally starts when the company was incorporated. They are built from the company's accounting records and normally include a balance sheet, plus a profit and loss account where the applicable reporting framework requires one. They are a Companies House filing obligation where required, and they are separate from anything you send to HMRC.

In most cases, yes — a limited company generally has to prepare and deliver statutory accounts for its first accounting period where the filing requirement applies, even if trading has been limited. The exact position depends on your company's incorporation date, accounting reference date and circumstances, so it is worth checking rather than assuming. Directors of newly formed companies in Oxted remain responsible for making sure the filing happens, even when an accountant prepares the accounts.

That depends on your company's incorporation date, its accounting reference date and the applicable Companies House requirements. The first set of accounts often follows a different timescale from later years, and it is not safe to assume the deadline matches the one you will have in year two and beyond. We can look at your company's specific dates and confirm what applies to you.

It varies by company, but typically we would look at bank transactions, sales and income records, business expenses, purchase invoices, asset purchases, director loans or transactions, share capital details, and any loans or finance agreements. Where relevant, payroll records, VAT records and other supporting documents may also be needed. If the company has had little activity, we can work from what exists — you do not need a full set of every possible record before getting in touch.

No. The statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in your accounts are often used as the starting point for the tax position, but the two filings have different purposes, different destinations and separate deadlines. Completing one does not complete the other.

It depends on your company's circumstances and the applicable rules. A company can still have statutory filing obligations even where activity has been limited or trading has not yet begun, and having no significant accounting transactions does not automatically mean the company is dormant. Directors should check their position rather than assume nothing needs to be filed, and we can help you work out what applies.

Some newly incorporated companies may qualify to report as micro-entities under FRS 105 if they meet the applicable eligibility requirements for the accounting period in question, but not every new company qualifies and low activity alone does not decide it. The right framework is determined by the company's circumstances, so eligibility should be assessed before the accounts are prepared rather than assumed.

Filing required accounts after the applicable deadline can lead to consequences from Companies House, and those consequences are not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If you are already overdue, the priority is usually to get the accounts prepared and submitted while dealing with the position directly — and if an appeal is being considered, eligibility depends on the circumstances and the applicable rules.
