First Year Accounts for Limited Company in Oldham, Prepared and Filed With Professional Support

Your company’s first set of statutory accounts sets the pattern for every filing that follows. First Year Accounts for Limited Company in Oldham means taking the accounting records you already hold, turning them into a proper balance sheet and, where applicable, a profit and loss account, checking the figures with you, and delivering the accounts to Companies House where required. Micro Entity Accounts works with newly incorporated and newly trading limited companies through that process — reviewing bank transactions, invoices, expense records and share capital details, confirming which reporting framework applies to your circumstances, and making sure the accounts are consistent with the information already held on the public register. Corporation Tax is handled separately: a CT600 is submitted to HMRC, not to Companies House, and it follows its own rules and timetable, so the two should not be treated as a single piece of work.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Accounting reference date

First CT600 due

What Are First Year Accounts for a Micro Company, and How Do They Apply to New Limited Companies in Oldham?

First year accounts are the first set of annual statutory accounts a limited company prepares. They cover the company’s initial accounting period, which generally runs from the date of incorporation to its first accounting reference date, although the period can be shortened or adjusted in certain circumstances. Companies House sets that first accounting reference date, typically the last day of the month in which the first anniversary of incorporation falls, and the accounts filing deadline is then calculated from it. The accounts are usually made up of a balance sheet, a profit and loss account where the applicable framework requires one, and any supporting notes, plus a directors’ report where required. Once prepared and approved by the directors, they are delivered to Companies House where required. Filing accounts is not optional simply because a company is new, and it does not disappear because activity has been limited or trading has not yet started — the position depends on the company’s circumstances and the applicable rules rather than being automatically treated as dormant. A company that meets the eligibility criteria for the relevant accounting period may be able to use the micro-entity framework, which is generally prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Eligibility is not automatic: it depends on the company’s size and circumstances for the period in question, and where a company does not qualify, small company or full reporting may be needed instead. It is also worth separating the first year accounts from the other obligations that sit alongside them. A Corporation Tax Return such as a CT600 is submitted to HMRC, not Companies House, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a further, separate filing that confirms the information Companies House holds about the company. Completing one of these does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Get Your First Year Accounts for Limited Company in Oldham Prepared Correctly From the Start

Most directors approaching their first accounting period are not short of questions — which figures belong in the accounts, what Companies House expects to see, whether the micro-entity framework is the right fit, and how any of it connects to the company’s tax position. Micro Entity Accounts helps newly incorporated and newly trading companies in Oldham work through those questions in order, preparing the statutory accounts from the records you hold, explaining what each figure represents, and supporting the filing with Companies House where required. Whether your records are neatly filed or still sitting in a folder of bank statements and receipts, we will set out clearly what is needed, what it costs, and what falls outside the accounts so nothing gets missed.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period — normally from the date of incorporation to its first accounting reference date, though the period can differ in certain circumstances. They generally include a balance sheet and, where the applicable reporting framework requires it, a profit and loss account, together with any notes and a directors' report where relevant. The accounts are drawn from the company's accounting records and delivered to Companies House where required. They are not the same thing as a Corporation Tax Return, which is submitted to HMRC.

The date depends on the company's incorporation date and its accounting reference date rather than following one identical rule for every company. Companies House sets the first accounting reference date, generally to the last day of the month in which the first anniversary of incorporation falls, and the filing deadline is calculated from that. Your company's own dates are shown on its Companies House record, and if anything is unclear we can check them with you before work begins.

Typically bank statements and transaction records, sales and income information, purchase invoices and expense receipts, details of any assets purchased, share capital information, director's loan or other loan activity, and payroll or VAT records where the company is registered for those. Not every company will have all of these — a company with limited activity will have a much shorter list — and part of the preparation work is confirming which records are actually relevant to your circumstances.

In most cases the statutory filing obligations continue even where trading has not begun or activity has been minimal. Whether accounts are prepared on a dormant basis depends on the company's circumstances and the applicable rules; having no significant transactions does not automatically mean the company is dormant for filing purposes. Directors based in Oldham should confirm the position for their own company rather than assuming that nothing needs to be filed during the first period.

No. Statutory accounts are delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has a Corporation Tax obligation. The figures in the accounts often inform the tax return, but the two serve different purposes and are filed with different bodies on different timetables. Filing one does not complete the other, and a company's first Corporation Tax accounting period may not match its statutory accounts period.

Some newly incorporated companies do qualify for the micro-entity framework, but it is not automatic and not every low-activity or startup company will meet the criteria. Eligibility is assessed against the applicable requirements for the relevant accounting period. Where a company qualifies, the accounts are usually prepared under FRS 105; where it does not, small company or full reporting may apply instead. Confirming the correct framework early avoids rework later.

No — they are separate obligations. A confirmation statement confirms that the information Companies House holds about the company remains accurate, and a company may need to file one during its first year regardless of its accounts position. Filing statutory accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does nothing toward the accounts.

Missing the applicable deadline can lead to consequences from Companies House, and the outcome varies depending on how late the accounts are and the company's filing history. Paying any penalty that is issued does not remove the requirement to file the outstanding accounts. If you are already overdue, the practical step is to get the accounts prepared and filed as soon as possible; we can help with that and discuss whether an appeal may be available, although eligibility depends on the circumstances and the applicable rules.
