First Year Accounts for Limited Company in Livingston

If you have recently incorporated a company in Livingston, its first set of statutory accounts will need to be prepared for the initial accounting period and delivered to Companies House where required. This is often the point where directors realise that being newly incorporated does not remove the filing obligation. We help newly incorporated and newly trading limited companies pull together their accounting records, prepare a balance sheet and, where applicable, a profit and loss account, and support them through the filing process. We also explain how Corporation Tax fits in: a CT600 is submitted to HMRC and is a separate requirement from the accounts filed at Companies House, not a substitute for them.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Fabulous team at ACCOTAX - very efficient and good response time . Honest and professional with their work. I would highly recommend them even if you’re a young start up - or a large business they have it covered .
Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Limited Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They usually begin on the date the company was incorporated and end on its first accounting reference date, although Companies House can sometimes treat the first period slightly differently where the company changes its accounting reference date. From that first period onwards, accounts normally cover a twelve-month period, with the first set often running longer than a standard year. The company’s accounting reference date is set at incorporation and can be changed later, subject to the applicable rules, so the first period is not identical for every company. Statutory accounts typically include a balance sheet, and a profit and loss account where the reporting framework requires one, along with notes and the directors’ responsibilities. Where a company qualifies under the applicable eligibility requirements, it may be able to report using the micro-entity framework and FRS 105, the financial reporting standard for qualifying micro-entities. That is not automatic, and eligibility depends on the company’s circumstances for the relevant period. It is worth separating the different obligations clearly. First-year statutory accounts are filed with Companies House where required. A Corporation Tax Return, usually a CT600, is submitted to HMRC and is a distinct filing with its own purpose. A confirmation statement is another separate Companies House requirement, and filing accounts does not replace it. Directors in Livingston remain responsible for making sure the company meets each of these obligations, even where an accountant prepares and files the accounts on the company’s behalf.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period. That period usually starts on the incorporation date and ends on the first accounting reference date, though Companies House rules can affect how a first period is treated in some cases. The accounts typically include a balance sheet and, depending on the reporting framework used, a profit and loss account, together with any required notes and a statement of the directors' responsibilities.

The deadline depends on your incorporation date and accounting reference date rather than a single fixed date that applies to every company. Companies House sets out the general filing window, and it can be shorter or longer depending on when the first accounting period ends and whether the accounting reference date has been changed. Because it varies, it is worth confirming your company's specific position early rather than assuming a standard twelve-month window applies.

It depends on what the company has actually done, but typically we would look at bank statements and transactions, any sales or income records, purchase invoices and business expenses, asset purchases, director's loan movements, share capital details and any finance or loan agreements. Where the company runs payroll or is VAT registered, the relevant records feed in as well. If a company has had very little activity, the records needed may be much lighter, but the reporting position still needs to be considered properly.

In most cases yes, a limited company must prepare and file statutory accounts for its first accounting period, even if trading has been limited or has not yet started. The obligation comes from being a limited company rather than from having generated sales or profit. Where a company has had no significant transactions, its reporting position depends on the specific circumstances and applicable rules, so it should not simply be assumed to be dormant without checking.

They follow the same underlying purpose, but the first set can cover a period longer than twelve months because it runs from incorporation to the first accounting reference date. Later sets normally cover a standard twelve-month period. The structure and framework can be similar, so the main practical difference is the length and start date of the period being reported on.

No. Statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC. They serve different purposes and go to different places, and completing one does not complete the other. The figures in the accounts often help when preparing the Corporation Tax position, but the two filings remain separate, and the Corporation Tax accounting period may not line up exactly with the statutory accounts period.

Some companies do qualify for the micro-entity framework and FRS 105, but it is not automatic and not every new or small company meets the conditions. Eligibility depends on the company's circumstances and the applicable requirements for the relevant accounting period. We check this as part of preparing the accounts so the correct framework is used.

Filing required accounts after the applicable deadline can lead to Companies House consequences, and these are not necessarily the same in every case. Paying any penalty does not remove the need to file the outstanding accounts. If accounts are already overdue, the priority is usually to get them prepared and filed, and whether an appeal is appropriate depends on the circumstances and the applicable rules. If you are in Livingston and your first filing date has passed, it is worth getting advice quickly rather than waiting.

No, they are separate requirements. A confirmation statement is a Companies House filing that confirms the company's details are up to date, while statutory accounts report the financial position for the accounting period. Filing your first-year accounts does not satisfy the confirmation statement obligation, and the company may still need to keep its registered information current.
