First Year Accounts for Limited Company in Linlithgow — Prepared, Reviewed and Filed

The first set of statutory accounts is a milestone for any newly incorporated company, and it is also a legal obligation rather than an optional exercise. If you have set up a limited company in Linlithgow, Micro Entity Accounts can prepare your First Year Accounts for Limited Company from the accounting records you hold, talk you through the figures, and deliver the accounts to Companies House where required. We also help you understand the accounting period, the accounting reference date and which reporting framework is likely to fit your company — whether that is the micro-entity framework under FRS 105 or the small company regime. Where Corporation Tax applies, the accounts information often feeds into the preparation of a CT600, but that return is submitted separately to HMRC. Directors remain responsible for the company’s compliance, and we support you through each stage of it.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company in Linlithgow?

For a newly incorporated limited company, the first set of statutory accounts is usually described simply as first-year accounts. They cover the company’s initial accounting period — the stretch of time that starts on the date of incorporation and ends on the company’s first accounting reference date. That period is not always twelve months. It can be longer or shorter than a standard year, which is one of the reasons the first filing catches directors out. These accounts are required because every UK limited company has a statutory duty to prepare annual accounts and, in most cases, to deliver them to Companies House. That duty begins with the first period. It does not wait until the company has been trading for a full year, and it does not disappear because the company has been quiet. Directors in Linlithgow who have recently incorporated should therefore check their accounting reference date early rather than assume nothing is due yet. The format of the accounts depends on the framework the company is eligible to use. Some companies meet the eligibility conditions for the micro-entity framework and can prepare simpler accounts under FRS 105, while others fall into the small company regime or need a fuller framework. Whether a company qualifies is judged against the applicable eligibility requirements and its own circumstances for the relevant accounting period, so it should not be assumed that a new company is automatically a micro-entity. It is just as important to be clear about what first-year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC rather than Companies House, and separate again from a confirmation statement, which updates the public register. A company may have obligations under all three headings, and completing one does not complete the others. The figures in the accounts are often used when preparing the company’s tax position, but the two filings have different purposes and different destinations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Linlithgow Prepared and Filed

First-year accounts raise questions that rarely come up in quite the same way again — how long the first period runs, which reporting framework actually applies, what to do when trading has been limited, and how the accounts sit alongside a CT600 or a confirmation statement. Micro Entity Accounts works with newly incorporated limited companies and their directors, including companies based in Linlithgow, to prepare first-year statutory accounts from the records available, review the figures with you, and file with Companies House where required. If your accounting records are patchy, or you are unsure whether the micro-entity framework is the right fit, it is far better to work through those points while there is still time to prepare properly.

They are the company's first set of statutory accounts, covering the initial accounting period that begins on the date of incorporation and ends on the first accounting reference date. They are prepared from the company's accounting records and generally include a balance sheet, with a profit and loss account included where the applicable framework and the company's circumstances require it. The accounts are then delivered to Companies House where required.

That depends on the company's incorporation date and its accounting reference date, because the first accounting period does not always run for a full twelve months. Companies House sets the deadline by reference to those dates, so the answer is company-specific rather than the same for everyone. We can confirm the applicable date for your company, and we would always recommend checking it shortly after incorporation rather than closer to the time.

Typically we would ask for bank statements and transaction records, sales and income records, purchase invoices and business expenses, details of any assets bought for the company, share capital information, and any director transactions or loans. If the company runs payroll or is registered for VAT, those records are helpful too. Where activity has been limited, you simply provide whatever records exist — we can work with a partial picture and tell you what is still missing.

In most cases, yes — subject to the applicable requirements for that company and accounting period. The obligation applies from the first accounting period, including where the company has had limited activity or has not yet started trading. Whether a company is dormant for filing purposes depends on its specific circumstances and the relevant rules, so it should be assessed rather than assumed.

No, and it helps to keep them separate. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable and covers the company's tax position, which may follow a different accounting period from the statutory accounts. A confirmation statement is a third, separate filing that updates the public register. Completing one does not complete the others.

It may do, if it meets the eligibility requirements for the relevant accounting period. Being newly incorporated, or having modest turnover, does not by itself guarantee micro-entity status, and companies in Linlithgow are in exactly the same position as anywhere else in the UK. FRS 105 is the financial reporting standard used by qualifying entities applying the micro-entity framework. The right framework should be confirmed against the company's circumstances before the accounts are prepared.

The statutory duty to prepare accounts generally still applies, even where there has been little or no activity. That said, the reporting position depends on the company's circumstances and the applicable rules, and a company with no significant accounting transactions is not automatically treated as dormant. The Corporation Tax position also needs to be considered separately, and it is worth seeking advice rather than leaving the first period unaddressed.

Filing required accounts after the applicable deadline can lead to consequences from Companies House, and those consequences are not identical in every case. Paying a late filing penalty does not remove the requirement to file the outstanding accounts. If you believe there is a valid reason for the delay, appeal eligibility depends on the circumstances and the applicable rules, so it is best to speak to us as early as possible.
