First Year Accounts for Limited Company in Larkhall — Professional Preparation and Filing Support

The first set of statutory accounts is a milestone every newly incorporated company has to deal with, and it tends to arrive sooner than directors expect. Micro Entity Accounts supports limited companies in Larkhall with the preparation of those first-year accounts — reviewing the accounting records behind them, drafting the balance sheet and, where applicable, the profit and loss account, and delivering the accounts to Companies House where required. If your company also has Corporation Tax to report, that is a separate obligation owed to HMRC, usually through a CT600, and it is handled independently of the Companies House accounts filing. Our role is to make sure the first filing is built on accurate records, the right reporting framework for your company, and a clear understanding of what has been filed and what still remains outstanding.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company and How Do They Work in Practice?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not an optional extra that can be set aside simply because the company is new. Incorporation brings statutory reporting duties with it, and the first period is where those duties begin. The length of that first accounting period depends on the company’s incorporation date and its accounting reference date. A company incorporated partway through a calendar year will often have an initial period that is longer or shorter than a standard twelve-month year, and the applicable Companies House requirements follow from those dates rather than from a single fixed rule. That is one reason two newly incorporated companies can have noticeably different first-year positions. The accounts are built from the company’s accounting records — bank transactions, sales and income, business expenses, purchase invoices, asset purchases, director transactions, share capital information and loans, along with payroll or VAT records where those apply. Where a company meets the eligibility requirements for the relevant accounting period, it may be able to report under the micro-entity framework, and FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. Eligibility is assessed rather than assumed, and not every new company qualifies. Once prepared, statutory accounts are generally delivered to Companies House where required. Companies House receives the filing — it does not prepare the accounts, check whether an accountant prepared them, or approve them. It is also important not to confuse this filing with other obligations. A limited company may separately need to prepare and submit a Corporation Tax Return, such as a CT600, to HMRC, and its first Corporation Tax accounting period may not line up exactly with its statutory accounts period. A confirmation statement is a further separate filing, and completing one does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Straightforward Professional Support With Your First Year Accounts for Limited Company in Larkhall

If you are uncertain what your first set of accounts should include, how your records translate into a balance sheet, or whether your company actually qualifies for simplified reporting, that uncertainty is usually best resolved before the filing date rather than after it. Micro Entity Accounts works with directors of newly incorporated limited companies in Larkhall to prepare first-year statutory accounts, review the accounting records supporting them, and file with Companies House where required. We will also make clear where separate matters apply — a Corporation Tax Return, a CT600 submission to HMRC, or a confirmation statement — so nothing gets mistaken for something it is not. Expect transparent fees, no hidden costs, and accounts prepared on the basis of the framework your company is genuinely eligible for. Speaking to someone who deals with first-year accounts regularly is a sensible first step for any new director.

They are the first set of annual statutory accounts covering a company's initial accounting period, generally running from incorporation up to the company's first accounting reference date. They usually include a balance sheet and, where applicable, a profit and loss account, along with any required notes and statements, prepared under an accounting framework appropriate to the company. The accounts are then filed with Companies House where required. They are not the same as a Corporation Tax Return, which is submitted separately to HMRC.

The deadline is not identical for every company. It depends on the incorporation date, the accounting reference date and the fact that a company's first accounts are treated differently from later sets under Companies House requirements. Because of this, the reliable approach is to confirm the applicable date for your specific company rather than assume a general rule applies. For directors in Larkhall running a newly incorporated company, it helps to establish that date early so the accounts are prepared well before it arrives.

It depends on what the company has actually done. Typically we would look at bank transactions, sales and income records, business expenses and receipts, purchase invoices, asset purchases, director loan movements, share capital information and any loans or finance arrangements. Where the company operates payroll or is VAT registered, those records are relevant too. A company with limited activity still needs to account for what did happen, along with its incorporation details.

In general, yes — incorporation creates statutory filing obligations, and having had little or no activity does not automatically remove them. What the accounts need to contain, and whether a company's position is genuinely dormant or simply non-trading, depends on the circumstances and the applicable rules rather than on the absence of sales alone. This is an area where it is worth confirming your company's specific position before deciding nothing needs to be filed.

No. The statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Information from the accounts often feeds into the tax return, and the two are prepared together in practice, but they have separate purposes, separate destinations and separate deadlines. Filing one does not complete the other, and neither filing automatically handles the company's confirmation statement.

Some can, but it is not automatic. Qualification depends on meeting the eligibility requirements for the relevant accounting period, and low turnover by itself does not settle the question. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework. Where a company does not qualify, accounts are prepared under the framework that does apply to it. We assess eligibility as part of preparing the accounts.

No. A confirmation statement is a separate filing that confirms the information Companies House holds about the company — directors, registered office, share capital and similar details — remains accurate. Filing accounts, first year or otherwise, does not satisfy that requirement, and the two run on their own cycles. Directors also remain responsible for keeping statutory registers and company information up to date.

Missing the applicable filing deadline can lead to Companies House consequences, which may include late filing penalties that increase the longer the accounts stay outstanding. Those consequences are not identical for every company, and paying a penalty does not remove the requirement to file the accounts. If accounts are already overdue, the practical priority is to get them prepared and delivered. Where an appeal might be available, eligibility depends on the circumstances and the applicable rules.
