First Year Accounts for Limited Company in Kingsbury — Prepared Accurately and Filed Correctly

Incorporating a limited company in Kingsbury means taking on a set of statutory reporting responsibilities, and your first set of accounts is usually the point where those responsibilities become real. First Year Accounts for Limited Company support from Micro Entity Accounts covers the practical work: reviewing your accounting records, preparing statutory accounts that include a balance sheet and, where applicable, a profit and loss account, and filing those accounts with Companies House where required. We also help you understand how your first accounting period has been set, how your accounting reference date affects what you are reporting, and which reporting framework is likely to be appropriate for your company. It is worth being clear from the outset that a Corporation Tax Return such as a CT600 is a separate submission made to HMRC, and that your Companies House accounts filing and your HMRC tax position are not the same thing — we can help you keep track of both.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company and How Do They Apply to New Companies in Kingsbury?

First-year accounts, sometimes called the first statutory accounts, are the initial set of annual accounts a limited company prepares for its first accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date. In many cases a company’s first accounting period is longer than twelve months because of the way the first accounting reference date is set, but this is not universal — the length of the period depends on the company’s own incorporation date and accounting reference date, and it should be confirmed rather than assumed. These accounts are not optional. A limited company is generally required to prepare accounts and, where required, deliver them to Companies House, even if trade has been limited, income has been low, or the company has not yet started trading. Where a company has had few or no significant accounting transactions, its correct reporting position still depends on its specific circumstances and the applicable rules — that does not automatically make it dormant, and it does not remove the need to consider what has to be filed. Some companies are eligible to report under the micro-entity framework, and where that applies the accounts are prepared in line with FRS 105, the financial reporting standard for qualifying micro-entities. Eligibility depends on meeting the applicable criteria for the relevant accounting period, so it is assessed company by company rather than assumed for every new incorporation. A company that does not meet the micro-entity thresholds may instead fall within the small company framework, or may need to prepare accounts on a fuller basis. It also helps to separate the different obligations. First-year statutory accounts go to Companies House where required. A Corporation Tax Return, such as a CT600, goes to HMRC where applicable, and the company’s first Corporation Tax accounting period does not always line up exactly with its statutory accounts period. A confirmation statement is another separate filing, used to confirm that the company’s details held at Companies House remain accurate, and it is not replaced by filing accounts. VAT returns, payroll reporting and bookkeeping records are separate again, and only apply where the company’s circumstances bring them into play.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

They are the first set of statutory annual accounts a limited company prepares, covering its initial accounting period. That period generally starts on the date of incorporation and ends on the company's first accounting reference date. The accounts normally include a balance sheet and, where applicable, a profit and loss account, together with the supporting notes required by the reporting framework being used. They are prepared for the company's members and, where required, delivered to Companies House.

There is no single answer that applies to every company, because the deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements. A first accounting period is often longer than twelve months, which affects what is reported and when the accounts are due. We confirm the position for your individual company rather than working from a generic assumption.

It depends on what the company has done since incorporation. Typically you would provide bank statements and transactions, sales or income records, business expense receipts and purchase invoices, details of any assets purchased, share capital information, director transactions and any loans or finance arrangements. Payroll records are relevant where the company has run a payroll, and VAT records are relevant where it is VAT registered. If your company has had little activity, we will still need to understand what has taken place so the correct reporting position can be established.

In most cases, yes — a limited company is generally required to prepare accounts and deliver them to Companies House where required, even if trading has been limited or has not yet begun. Whether a company is dormant for filing purposes depends on its specific circumstances and the applicable rules, so it is not something to assume. Directors in Kingsbury should check their position rather than skip the filing on the basis that nothing much has happened.

No. First year statutory accounts are prepared for the company and filed with Companies House where required. A Corporation Tax Return, commonly the CT600, is submitted to HMRC where applicable. The figures in your accounts often feed into the tax return, but they are separate documents with separate purposes and separate destinations. Filing one does not complete the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some newly incorporated companies do qualify for the micro-entity framework, and where that applies the accounts are prepared under FRS 105, the financial reporting standard for qualifying micro-entities. Qualification depends on meeting the eligibility requirements for the relevant accounting period, so it is assessed for each company. A new company with modest activity does not automatically qualify, and a company that falls outside the thresholds may use the small company framework or prepare accounts on a fuller basis instead.

No, they are separate filings. A confirmation statement is used to confirm that the information Companies House holds about the company — such as directors, shareholders, registered office and share details — remains correct. Filing statutory accounts does not replace it, and submitting a confirmation statement does not satisfy the accounts filing requirement. Both may need attention in a company's first year, and keeping your Companies House record up to date matters.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, and the outcome depends on the circumstances and how late the filing is. Paying any penalty does not remove the requirement to file the outstanding accounts. If you are already overdue, the priority is to get accurate accounts prepared and filed, and we can help Kingsbury directors work through what is needed. Where an appeal against a penalty is considered, eligibility depends on the specific circumstances and the applicable rules.
