First Year Accounts for Limited Company in Isleworth, Prepared and Filed with Professional Support

If you have incorporated a limited company and are approaching the end of your first accounting period, the initial set of statutory accounts you prepare will shape how smoothly the rest of your compliance runs. These first year accounts — sometimes called first statutory accounts or new limited company accounts — summarise your company’s financial position at the accounting reference date and its performance over that first period, and they generally need to be delivered to Companies House where required. Micro Entity Accounts works with directors of newly incorporated and newly trading companies, including those based in Isleworth, to review the accounting records that have been kept, prepare a balance sheet and, where applicable, a profit and loss account, apply a reporting framework that suits the company’s circumstances, and file the completed accounts with Companies House. Corporation Tax sits separately from this process: where a company has Corporation Tax obligations, these are dealt with through a return such as a CT600 submitted to HMRC, and we can help you see how the two fit together without treating them as one and the same filing.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Why Do They Matter?

First year accounts are the first annual statutory accounts a limited company prepares for its initial accounting period. In most cases that period runs from the date of incorporation to the company’s first accounting reference date, which Companies House sets when the company is formed — although the exact first period depends on the incorporation date and on whether the company has changed its accounting reference date. Because the first period is often longer than a normal 12-month period, the way the first filing date is calculated can differ from later years, so it is worth checking your company’s own Companies House record rather than assuming the pattern that applies to established companies. These accounts are not optional. Once a company is incorporated it has statutory accounts obligations, even where trading has been limited, delayed or has not yet begun. The accounts are prepared from the company’s accounting records — bank transactions, sales and income records, purchase invoices, expense receipts, asset purchases, share capital details, director transactions and any loans or finance arrangements — and they are generally filed with Companies House where required. Directors remain responsible for making sure the company meets its filing obligations, even when an accountant prepares and submits the information on the company’s behalf. It is also important to be clear that filing first year accounts with Companies House is not the same as submitting a Corporation Tax Return to HMRC; the accounts deal with the company’s Companies House reporting, while Corporation Tax is a separate matter, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. Some newly incorporated companies may be eligible for the micro-entity reporting framework, which uses the financial reporting standard FRS 105 where it applies to qualifying entities. Eligibility is not automatic. Whether a company can use the micro-entity framework, or the small company framework, depends on whether it meets the applicable eligibility requirements for the relevant accounting period, and the right framework should be decided on the company’s own facts. A confirmation statement is also a separate filing to Companies House, so filing accounts does not replace it, and the company may still need to keep its registered details up to date.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

Get Your First Year Accounts for Limited Company in Isleworth Prepared Correctly from the Start

The first accounting period is often the one directors feel least certain about: which figures belong in the accounts, what the accounting reference date actually means, which reporting framework applies, and what still needs to be sent to Companies House afterwards. Micro Entity Accounts can take that uncertainty off your desk by preparing your first year accounts from the records you hold, reviewing those records with you where something is missing, and handling the Companies House filing where it is required — while keeping separate matters such as Corporation Tax and confirmation statements clearly in view. If you are unsure whether your company qualifies for micro-entity reporting or how your first period should be presented, speaking to someone who works with newly incorporated limited companies every day is a sensible first step.

They are the first set of annual statutory accounts your company prepares for its initial accounting period, usually covering the time from incorporation up to the company's first accounting reference date. They set out the company's financial position at that date and, where applicable, its performance over the period, using information taken from the company's accounting records. They are a statutory requirement rather than something a company can choose to skip because it has only recently been formed.

The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not identical for every company. The first-year deadline is generally worked out on a different basis from later years, and Companies House displays the due date on the company's public record. Rather than relying on an assumed date, it is worth checking that record or asking us to confirm the position for your Isleworth company.

Typically we need the company's bank statements and transaction records, sales invoices or other income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director's loan account movements, and any loans or finance agreements. If the company runs a payroll or is VAT registered, the related records may also be relevant. Not every company will have all of these, and we work with what actually applies to your circumstances.

A company generally still has statutory accounts obligations for its accounting period, even where activity has been minimal or trading has not yet started. Whether a company can be treated as dormant for filing purposes depends on its particular circumstances and the applicable rules — having no significant accounting transactions does not automatically make a company dormant, and dormant status carries its own conditions. It is worth getting the position clarified rather than assuming nothing needs to be filed.

No. Statutory accounts are prepared for the company's reporting obligations and are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where a company has Corporation Tax obligations. The figures in the accounts often help inform the tax return, but the two filings have different purposes and different destinations, and completing one does not complete the other.

It can, but not automatically. Eligibility for the micro-entity framework depends on whether the company meets the applicable criteria for the relevant accounting period, and a company with low activity does not qualify simply because it is small or new. Where the micro-entity framework applies, the accounts are prepared under FRS 105, the standard used by qualifying entities. We look at your company's circumstances before recommending a framework.

They do not. A confirmation statement is a separate filing that confirms the company's registered details are correct, and it is submitted independently of the annual accounts. Filing your first year accounts with Companies House does not satisfy the confirmation statement requirement, and the company may still need to keep its information at Companies House up to date.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can vary according to how late the filing is and the company's history. Late filing penalties, where they apply, do not remove the requirement to file the outstanding accounts. If accounts have already been filed late and you are considering an appeal, eligibility depends on the circumstances and the applicable rules, so it is worth taking advice before making assumptions either way.
