First Year Accounts for Limited Company in Garsington, Prepared and Filed With Professional Support

If you have recently incorporated a company, its First Year Accounts for Limited Company in Garsington are the first set of statutory accounts it needs to produce for its initial accounting period. Micro Entity Accounts helps directors of newly incorporated and newly trading limited companies assemble the underlying accounting records, prepare the balance sheet and, where applicable, the profit and loss account, and deliver the accounts to Companies House where required. We also make clear how this sits alongside the separate Corporation Tax requirements dealt with by HMRC, including a CT600 where one is due, and the separate confirmation statement that keeps your Companies House record current. Whether your company has been trading from day one or has had only limited activity so far, we can review your position and explain what needs to be done.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and How Do They Apply to a New Limited Company in Garsington?

First-year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period normally starts on the date the company was incorporated, or from the accounting reference date set when the company was formed, and runs up to its first accounting reference date. Because the first period is frequently longer or shorter than twelve months, the figures are not directly comparable with a standard trading year, and the filing position can differ from that of later years. A newly incorporated company in Garsington does not escape its accounts obligations simply because it is new. Where statutory accounts are required, they must be prepared and delivered to Companies House, and the directors remain responsible for ensuring that happens even when an accountant prepares the figures on the company’s behalf. Statutory accounts typically include a balance sheet, plus a profit and loss account where the company is required or chooses to include one, along with the notes and statements required by the reporting framework that applies to that period. Some companies may be eligible to prepare micro-entity accounts under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity framework. Eligibility depends on the company’s circumstances and the applicable conditions for the relevant accounting period, so it is not automatic for every new company and should be considered case by case. It is also worth being clear about what first-year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC where one is due, and separate from the confirmation statement, which keeps the company’s register information up to date at Companies House. Completing one of these obligations does not automatically complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of statutory annual accounts a limited company prepares, covering its initial accounting period. That period generally runs from incorporation, or the accounting reference date set at formation, up to the company's first accounting reference date. The accounts usually include a balance sheet and, where applicable, a profit and loss account, together with the notes and statements required by the reporting framework that applies to the company.

There is no single answer that applies to every company. The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements. First accounting periods can be longer than twelve months, which affects the calculation, so the due date for one company may be quite different from another incorporated in the same month. It is worth confirming your own position rather than assuming a standard twelve-month cycle applies.

It depends on what the company has actually done. Typically we look at bank transactions, sales and income records, purchase invoices and expense receipts, asset purchases, share capital details, any director transactions or loans, and payroll or VAT records where those apply. Companies with very little activity still need supporting records for whatever has taken place, including the initial share issue.

In most cases a newly incorporated limited company does have statutory accounts filing obligations, and these are not removed simply because the company is new or has traded only lightly. Where accounts are required, they are delivered to Companies House. Companies House does not prepare the accounts, and it does not approve them — filing is a delivery of information, not a form of professional or regulatory sign-off.

No. Statutory accounts are prepared for the company's members and filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where one is due. The two serve different purposes and go to different destinations. Figures from the accounts are often used when working out the company's Corporation Tax position, but filing accounts does not submit a CT600, and filing a CT600 does not complete the Companies House accounts filing.

A company that has not yet started trading may still have filing obligations, so the assumption that nothing needs to be done is risky. Whether a company can be treated as dormant, and what that means for its reporting, depends on its specific circumstances and the applicable rules. Directors in Garsington who have incorporated a company but not yet begun trading should check their position rather than leave it until a deadline passes.

It can, but not automatically. Micro-entity reporting under FRS 105 is available to companies that meet the eligibility requirements for the relevant accounting period, which depend on factors such as the company's size and the applicable thresholds. A company with low activity does not qualify purely because it is small, and a newly incorporated company is not automatically a micro-entity. The right framework should be confirmed before the accounts are prepared.

No. A confirmation statement is a separate filing that confirms the company's registered details are correct, and it is not replaced by preparing or filing first-year accounts. A limited company may still need to submit confirmation statements and keep its Companies House information up to date, alongside its accounts and any separate Corporation Tax obligations that apply.
