First Year Accounts for Limited Company in Gainsborough, Prepared and Filed With Confidence

Your company’s first set of statutory accounts sets the tone for everything that follows, so it is worth getting them right from the outset. Micro Entity Accounts works with newly incorporated and newly trading limited companies in Gainsborough to prepare their first year accounts, starting with a proper review of the accounting records behind them — bank transactions, sales and expense records, asset purchases and director transactions where relevant. We then prepare the statutory accounts and, where required, deliver them to Companies House. Alongside this, many directors also have a separate Corporation Tax position to consider, including a CT600 return submitted to HMRC rather than Companies House, and we can explain how the two fit together without treating them as the same filing. Whether your company has been trading throughout the period or has had limited activity so far, the aim is straightforward: accurate accounts, a clear explanation of what is being filed and where, and no surprises along the way.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares, covering the period from incorporation (or from the start of trading in some cases) through to its first accounting reference date. Every limited company has a statutory duty to prepare accounts, and for a newly incorporated company in Gainsborough this first set is often the point at which directors become properly acquainted with Companies House filing requirements. The length of the first accounting period is not identical for every company — it depends on the incorporation date, the accounting reference date and the applicable Companies House rules, which is why it is worth confirming your own dates rather than assuming they match someone else’s. Once the period is understood, the accounts themselves are prepared from the company’s accounting records and typically include a balance sheet, and a profit and loss account where applicable. The word “micro” in this context refers to a reporting framework rather than a description of the business. A company may qualify as a micro-entity if it meets the eligibility conditions for the relevant accounting period, in which case the micro-entity framework — supported by FRS 105, the financial reporting standard for qualifying micro-entities — may allow for simplified accounts. Not every new company qualifies, and low turnover on its own does not settle the question. A small company may instead fall within the small-company regime, and some companies fall outside both. The right framework depends on the company’s circumstances, so eligibility should be assessed rather than assumed. It is also important to separate the filings involved. First year statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period does not necessarily line up exactly with its statutory accounts period. A confirmation statement is a further, separate filing that keeps the company’s public information up to date, and filing accounts does not replace it. Preparing and filing first year accounts does not, on its own, discharge the company’s Corporation Tax, confirmation statement or VAT obligations — each has its own purpose and its own destination.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Gainsborough Prepared Properly

The first accounts deadline for a new company can arrive sooner than directors expect, and working out which reporting framework applies — micro-entity, small company or something else — is not always obvious from the outside. If you are unsure what your accounting period covers, what records you need to gather, or simply want reassurance that your statutory accounts are being prepared and filed correctly, Micro Entity Accounts can help. We assist limited companies in Gainsborough with preparing first year accounts from accurate accounting records and with filing them at Companies House where required, and we can explain how your separate Corporation Tax and confirmation statement obligations fit around that. Directors remain responsible for the company’s compliance, but there is no reason to work through the first year alone — get in touch and we will talk you through the process in plain terms, with clear pricing and no hidden costs.

They are the company's first set of annual statutory accounts, covering the initial accounting period from incorporation through to the first accounting reference date. They are prepared from the company's accounting records and generally include a balance sheet, with a profit and loss account where applicable. They are then delivered to Companies House where required.

The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it varies from company to company. Rather than relying on a general rule of thumb, it is worth checking your company's own dates — we can help you identify the period your first accounts need to cover.

Typically you will need bank statements and transaction records, sales and income records, business expense and purchase invoices, details of any assets bought, share capital information, director transactions or loans, and payroll or VAT records where those apply. Companies that have had little activity will usually have less to gather, but the records that do exist still need to be accurate.

Yes, a limited company is generally required to prepare and file statutory accounts, even where it has had limited activity or has not yet started trading. If a company has had no significant accounting transactions, its reporting position depends on its circumstances and the applicable rules — that is not automatically the same as being dormant, so the position should be confirmed rather than assumed.

They follow the same underlying principles, but the first set often covers a different length of period because it begins at incorporation rather than on a standard annual cycle. Once the first accounts are filed, the company moves onto a more regular annual pattern.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in the accounts may feed into the Corporation Tax position, but they are separate filings with separate purposes and separate submission routes. Filing one does not complete the other.

Some newly incorporated companies do qualify for the micro-entity framework if they meet the eligibility conditions for the relevant accounting period. Many do not, and low turnover alone does not determine eligibility. FRS 105 applies to qualifying entities using the micro-entity framework, and the appropriate framework should be confirmed based on the company's own circumstances.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, and the outcome is not the same in every case. Paying any penalty does not remove the requirement to file the outstanding accounts, so the priority is to get them completed and submitted. Where a late filing has already occurred, appeal eligibility depends on the circumstances and the applicable rules.
