First Year Accounts for Limited Company in Fishguard, Prepared and Filed With Professional Support

If you have recently incorporated a company and are running it from Fishguard or the surrounding area, the first set of statutory accounts can feel like unfamiliar ground. Micro Entity Accounts helps newly incorporated and newly trading limited companies prepare their First Year Accounts for Limited Company properly — reviewing the accounting records you have kept, drafting the balance sheet and profit and loss account where applicable, and supporting you with filing the accounts at Companies House where required. We also explain how your incorporation date and accounting reference date shape your first accounting period, and how those statutory accounts obligations sit alongside separate matters such as a Corporation Tax Return or CT600 submitted to HMRC, confirmation statements, and VAT where applicable. Directors remain responsible for the company’s compliance, but professional preparation and a clear explanation of each step makes the whole process far easier to manage.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory annual accounts a limited company prepares, covering its initial accounting period. They are a statutory requirement rather than an optional exercise. A newly incorporated company is expected to prepare accounts for its first period and deliver them to Companies House where required, even where trading has been limited or has not yet begun. The first accounting period normally starts on the date of incorporation and ends on the company’s first accounting reference date, and it is often longer than the twelve months that later periods usually cover. Companies House sets that original accounting reference date from the incorporation date, and it can be changed in certain circumstances, so it is sensible to confirm yours before any preparation work starts. Depending on the reporting framework applied, the accounts may include a balance sheet with supporting notes, and in some cases a profit and loss account. First year accounts generally do not carry comparatives, because there is no earlier period to compare against. Many companies find that the framework question is the part they are least certain about. Some companies meet the eligibility conditions for the micro-entity framework, in which case FRS 105 — the financial reporting standard applicable to qualifying micro-entities — may be used. That is not automatic. Eligibility depends on meeting the applicable thresholds and conditions for the relevant accounting period, and those conditions need to be checked rather than assumed. A company that does not qualify may report under the small companies regime or under fuller standards instead. It also helps to be clear about what first year accounts are not. They are not a Corporation Tax Return. Statutory accounts are delivered to Companies House where required, while a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the two filings serve different purposes even though they draw on overlapping accounting information. A confirmation statement is a separate filing again, and it does not replace the accounts. Directors in Fishguard who understand those distinctions early tend to find the first year runs far more smoothly, because they know which document is due where, and why.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

They are the first set of statutory annual accounts a company prepares, covering the period from incorporation through to its first accounting reference date. They are prepared under the applicable company law requirements and are delivered to Companies House where required. Depending on the framework used, they typically include a balance sheet with notes, and a profit and loss account in some cases. Because there is no earlier period, first year accounts generally do not include comparative figures.

The deadline depends on your company's incorporation date and its accounting reference date, together with the applicable Companies House requirements, so it is not the same for every company. Because a first accounting period is often longer than twelve months, the filing date is not necessarily twelve months after your period ends. The reliable approach is to confirm the exact date that applies to your company and diarise it early, rather than working from a general rule of thumb.

It depends on what the company has actually done, but common items include bank statements and transaction listings, sales or income records, purchase invoices and business expenses, details of any assets purchased, director transactions and loans, and share capital information. Where payroll or VAT applies, the related records are relevant too. Not every company will have all of these. Providing whatever you hold, even if the records are incomplete, lets us establish what is missing before preparation begins.

Where the filing requirements apply, yes. A recently incorporated company may still have statutory accounts to prepare and deliver to Companies House even if it has only seen limited activity. This is separate from the confirmation statement, which is its own filing and also needs to be kept up to date where applicable. Filing first year accounts does not remove the confirmation statement requirement, and submitting a confirmation statement does not satisfy the accounts requirement.

It is a common assumption that no trading means no reporting, but that is not automatically the case. A company may still need to prepare and file accounts for its first period depending on its circumstances and the applicable rules. Whether a company can be treated as dormant for filing purposes is a separate question, and it is not determined simply by having no sales. It is worth taking advice on your specific position rather than assuming no action is required.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They draw on much of the same accounting information, but they serve different purposes and go to different places. Filing one does not complete the other. It is also worth noting that a company's first Corporation Tax accounting period and its statutory accounts period may not be identical, so both should be reviewed rather than assumed.

Some newly incorporated companies do qualify, but qualification is not automatic and being newly formed or small does not by itself guarantee eligibility. It depends on whether the company meets the applicable thresholds and conditions for the relevant accounting period. Where a company qualifies, FRS 105 is the financial reporting standard used for micro-entity accounts. If it does not qualify, the small companies regime or fuller reporting standards may apply instead, so eligibility is something we check before preparation begins.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the position is not identical in every case. Paying any penalty does not remove the obligation to file the outstanding accounts, so the priority is to get them prepared and submitted. Where a penalty appeal is considered, eligibility depends on the circumstances and the applicable rules. If your first year accounts are already overdue, it is best to deal with it promptly rather than delay further.
