First Year Accounts for Limited Company in Fermanagh — Prepared, Reviewed and Filed

Your company’s first set of statutory accounts sets the tone for everything that follows, and it is rarely as straightforward as it looks. At Micro Entity Accounts, we help newly incorporated and newly trading limited companies across Fermanagh prepare their First Year Accounts for Limited Company accurately — starting with a proper review of your accounting records, then building the statutory accounts themselves, including a balance sheet and a profit and loss account where applicable. Where the company is required to deliver accounts to Companies House, we can prepare and file them on that basis. We will also help you understand the difference between those accounts and your separate obligations to HMRC, such as a Corporation Tax Return or CT600, which is submitted independently and is not covered by filing with Companies House. If your company has only recently started, has had limited activity, or you are simply unsure what the first accounting period should look like, we can talk you through it before anything is submitted.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Limited Company?

First year accounts are the initial set of annual statutory accounts a limited company prepares covering its first accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date, although the exact length and end date depend on when the company was incorporated and how Companies House records its accounting reference date. The accounts themselves are a formal document: they typically include a balance sheet, and depending on the framework applied, may also include a profit and loss account, together with the notes and statements required under the applicable reporting rules. Directors remain responsible for making sure the company keeps adequate accounting records and meets its statutory obligations, even where an accountant prepares the figures. It is worth separating the different pieces of compliance that often arrive at the same time. First year statutory accounts are prepared for the members and, where required, delivered to Companies House. A Corporation Tax Return, such as a CT600, is a separate submission made to HMRC, and the first Corporation Tax accounting period does not always match the statutory accounts period. A confirmation statement is a further, distinct filing that keeps the public register up to date — it does not replace the accounts, and the accounts do not replace it. Some companies may qualify to use the micro-entity accounting framework, and where they do, the financial reporting standard that applies to qualifying micro-entities is FRS 105. Qualification is not automatic and is not something to assume simply because a company is small or newly formed — eligibility depends on the company’s circumstances and the requirements applicable to the relevant accounting period, and it should be assessed before a reporting framework is chosen. Even where a company has had little or no activity, filing responsibilities may still apply, so the right answer depends on the facts rather than on an assumption that nothing needs to be done.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts a company prepares for its initial accounting period, usually running from the incorporation date to the company's first accounting reference date. They normally include a balance sheet and, depending on the framework applied, a profit and loss account and supporting notes. They are the company's formal reporting document for that period.

The deadline depends on your company's incorporation date, its accounting reference date and the filing requirements that apply to it, so it is not the same for every company. Companies House bases first-year filing requirements on the accounting reference period rather than on a fixed date set at incorporation. Because the first period is often longer than twelve months, it is worth confirming your company's specific dates early rather than working to a general assumption.

It depends on the company, but typically we would look at bank statements and transactions, sales and income records, purchase invoices and business expenses, any asset purchases, director transactions, share capital details, loans or finance agreements, and payroll or VAT records where those apply. A limited company in Fermanagh with very little activity may need to provide far less, and we will tell you what is actually relevant to your circumstances.

In most cases a company is required to prepare and deliver statutory accounts to Companies House for its accounting period, and that obligation is not removed simply because the company is new or has not yet started trading. Where a company has had no significant accounting transactions, its reporting position depends on the applicable rules and its own circumstances rather than being automatically treated as dormant. We can confirm what applies to your company.

Conceptually they follow the same principles — they are statutory accounts prepared for an accounting period. The practical difference is that the first set may cover a longer period than a normal twelve-month year, and the period length can affect what the accounts show and what needs to be disclosed. Later years generally settle into a standard annual cycle once the first accounting reference date has passed.

No. Statutory accounts are prepared under company law and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC. Information from the accounts often feeds into the Corporation Tax preparation, but the two serve different purposes, go to different bodies, and completing one does not complete the other. The first Corporation Tax accounting period and the statutory accounts period may also not match exactly.

Some companies may qualify to prepare micro-entity accounts if they meet the eligibility requirements for the relevant accounting period, and FRS 105 is the standard applicable to qualifying micro-entities. It is not something that applies automatically to every new or small company, and a confirmation statement has no bearing on it. Eligibility should be checked against your company's circumstances before a framework is chosen.

Filing after the applicable deadline can lead to consequences from Companies House, and the outcome depends on the circumstances and how late the filing is. Paying any penalty or charge does not remove the requirement to file the outstanding accounts. If your accounts are already overdue, the priority is usually to get accurate accounts prepared and delivered, and to understand whether an appeal may be available under the applicable rules — that depends on the reasons and the relevant criteria.
