First Year Accounts for Limited Company in Epping

Your first set of statutory accounts is a milestone for any newly incorporated company, and getting them right from the start sets a cleaner foundation for everything that follows. Micro Entity Accounts supports directors of newly incorporated and newly trading limited companies in Epping with the preparation of their first-year accounts, including reviewing the accounting records behind the figures, drafting the balance sheet and, where applicable, the profit and loss account, and helping to deliver the accounts to Companies House where required. We will also talk you through the accounting period, the accounting reference date and the reporting framework that applies to your company, so you understand what is being filed and why. It is worth noting that a Corporation Tax Return, such as a CT600, is a separate submission made to HMRC, and a confirmation statement is a separate Companies House filing again.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Limited Company, and When Might Micro-Entity Reporting Apply?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has a statutory accounting period, an accounting reference date and a set of filing obligations, and the first accounts typically cover the period from incorporation (or from the date the company began trading, depending on the circumstances) up to its first accounting reference date. In practice, that first period is often longer than the twelve months a director may expect, because Companies House sets the initial accounting reference date based on the incorporation date. The exact period and the corresponding filing deadline depend on the company’s incorporation date, its accounting reference date and the applicable Companies House requirements, so they are not identical for every new company. Where required, the accounts are prepared and delivered to Companies House. Companies House is a registry, not an approval body — it does not review or approve the accounts on accounting or professional grounds. Some newly incorporated companies may qualify to prepare accounts under the micro-entity framework, using FRS 105, the financial reporting standard applicable to qualifying entities. Others may fall within the small company regime, or need to prepare accounts under a fuller framework. Eligibility depends on the company’s circumstances and the applicable thresholds for the relevant accounting period, and it is not automatic — a company does not become a micro-entity just because it has recently been incorporated or has had limited activity. We confirm the appropriate framework as part of the accounts preparation process. It also helps to be clear about what first-year accounts are not. A Corporation Tax Return, such as a CT600, is submitted to HMRC and is a separate compliance matter, even when the figures in the accounts inform it. A confirmation statement is a separate Companies House filing that confirms the company’s registered details. And if a company’s first Corporation Tax accounting period differs from its statutory accounts period, that is not unusual — the two can start and end on different dates.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

First-year accounts are the first set of annual statutory accounts prepared by a limited company for its initial accounting period. They usually include a balance sheet and, depending on the framework the company reports under, may also include a profit and loss account and notes. They are prepared from the company's accounting records and, where required, delivered to Companies House.

The deadline depends on your company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not the same for every company. The first accounting period is often longer than twelve months, which can catch directors out. We recommend checking your company's accounting reference date and confirming the filing deadline as soon as possible after incorporation, rather than working back from the date you assume applies.

It varies by company, but typically we would ask for bank statements and transaction records, sales or income records, purchase invoices and business expense receipts, details of any assets purchased, share capital information, any director's loan transactions, and loans or finance agreements. Where the company runs payroll or is VAT registered, those records are relevant too. If your company has had little activity, tell us — that does not automatically mean there is nothing to file.

In most cases, yes. Incorporation creates statutory reporting obligations, and the first set of accounts generally needs to be delivered to Companies House where required, even if trading has been limited or has not yet started. Where a company has had no significant accounting transactions, its reporting position depends on its own circumstances and the applicable rules rather than being automatically treated as dormant. It is worth confirming your position rather than assuming.

They are the same type of filing, just the first one. First-year accounts cover the company's initial accounting period, while later annual accounts cover each subsequent period. The first set can be more involved because of the initial accounting reference date, any pre-trading period, and the fact that there are no prior-year figures to compare against.

No. Statutory accounts are prepared for the company and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and although the accounting figures often inform it, it is a separate filing with a separate purpose and a separate destination. Completing one does not complete the other.

No. A confirmation statement is a separate Companies House filing that confirms details such as the company's registered office, directors and shareholders, and it does not replace the statutory accounts. Filing your first-year accounts does not remove the need to keep your Companies House information up to date.

It may be able to, if it meets the applicable eligibility requirements for the relevant accounting period. Micro-entity accounts are prepared under FRS 105, the standard applicable to qualifying entities, but FRS 105 does not automatically apply to every new company, and a low turnover alone does not guarantee eligibility. Many companies in Epping fall within the small company regime instead. We confirm the correct framework based on your circumstances and any applicable thresholds.
