First Year Accounts for Limited Company in Elmstead Market — Professional Preparation and Filing Support

If your company has recently been incorporated and its first accounting period is coming to an end, the next practical step is preparing its first set of statutory accounts. Micro Entity Accounts works with newly incorporated and newly trading limited companies in Elmstead Market on First Year Accounts for Limited Company preparation — reviewing the accounting records you hold, drafting the balance sheet and, where applicable, the profit and loss account, and supporting the delivery of those accounts to Companies House where required. Directors stay responsible for the company’s statutory obligations, but professional support helps ensure the figures are consistent with the underlying records, the reporting framework used is appropriate, and nothing important is missed. Corporation Tax is a separate matter: a CT600 is submitted to HMRC where applicable and is not the same filing as the accounts sent to Companies House.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Could Your New Limited Company Qualify?

First Year Accounts for Limited Company purposes are the first set of annual statutory accounts a company prepares for its initial accounting period. They are not optional background paperwork. Once a company is incorporated, it takes on statutory reporting obligations, and its first accounts form part of those obligations. The first accounting period normally begins on the date of incorporation and runs to the company’s first accounting reference date, which is set when the company is registered and can usually be changed within the applicable rules. Because that opening period can cover more than a typical twelve-month span, the figures in a first set of accounts often look different from later years. When the accounts are prepared, the usual contents include a balance sheet showing what the company owns and owes at the period end, together with a profit and loss account where the reporting framework and the company’s circumstances require one, plus any supporting notes and the directors’ information that applies. The accounts are then delivered to Companies House where required. This is a separate exercise from the company’s Corporation Tax position — a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and delivering accounts to Companies House does not submit a CT600 on the company’s behalf. A confirmation statement is separate again, and filing accounts does not discharge that obligation. Some newly incorporated companies may qualify for the micro-entity accounting framework, using FRS 105, if they meet the eligibility conditions for the relevant accounting period. That is not automatic, and eligibility is not decided by turnover alone. A company may instead come within the small-company regime, or need to report under a fuller framework. For limited companies in Elmstead Market, this is often the first point at which the appropriate reporting framework needs to be considered properly, and it is normally reviewed before the accounts are drafted.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Accurate First Year Accounts for Limited Company in Elmstead Market, Prepared with Care

If your company has just completed its first period and the accounts deadline is approaching, it is easy to feel unsure about what actually needs to be prepared, which records the accounts depend on, and whether the micro-entity or small-company framework applies to you. That uncertainty is common among directors of newly incorporated companies in Elmstead Market, particularly where bookkeeping has been kept informally or where the company has had limited activity so far. Micro Entity Accounts can assist with preparing and reviewing your first statutory accounts, clarifying the reporting framework that fits your circumstances, and supporting the Companies House filing where required, on a fixed-fee basis with clear pricing and no hidden costs. Getting the first set of accounts right also provides a dependable starting point for your Corporation Tax position and for later accounting periods, which is why it is worth having them prepared properly from the outset.

They are the first set of annual statutory accounts a company prepares for its initial accounting period, running from incorporation to its first accounting reference date. They typically include a balance sheet, a profit and loss account where the applicable reporting framework requires one, and the notes and directors' information that apply. Once prepared, the accounts are delivered to Companies House where required. This is a separate process from a Corporation Tax Return such as a CT600, which goes to HMRC where applicable, and separate from the confirmation statement.

The deadline depends on your company's incorporation date and its accounting reference date, so it is not the same for every new company. Companies House generally allows a longer period for a company's first accounts than it does for later years, but the exact date should always be confirmed against your own company record rather than assumed. If you are unsure what applies to your company, we can review the details with you and confirm the position before any filing is prepared.

It depends on what the company has actually done during the period. Typical records include bank statements and bank transactions, sales and income records, business expenses and purchase invoices, details of any assets bought, share capital information, director transactions and any loans or finance agreements. Where relevant, payroll records and VAT records may also be needed. Not every company will have all of these, and where activity has been limited the accounts are prepared from whatever records exist.

A filing obligation generally arises from incorporation rather than from trading activity, so a company should not assume it can simply ignore its first accounts because it has not started trading. Where there have been no significant accounting transactions, the reporting position depends on the company's circumstances and the applicable rules rather than being automatically described as dormant. If the qualifying conditions are met, dormant company accounts may be an option, and it is also worth checking whether any Corporation Tax obligations exist separately with HMRC.

No. First-year statutory accounts are prepared for the company and delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where applicable. The accounting information behind the accounts often feeds into the Corporation Tax computation, but the two filings have different purposes and different destinations, and completing one does not complete the other. It is also possible for the first Corporation Tax accounting period and the statutory accounts period not to be identical.

It may be able to, but not automatically. Micro-entity reporting depends on meeting the eligibility conditions for the relevant accounting period, and a newly incorporated company is not treated as a micro-entity simply because it is new or small. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity framework. Where a company does not qualify, the small-company regime or a fuller framework may apply instead, so eligibility is normally assessed against the company's own circumstances first.

No, they are separate obligations. The confirmation statement confirms that the company's details held at Companies House are correct, and filing first-year accounts does not satisfy it. A limited company may still need to submit a confirmation statement and keep its registered information up to date, regardless of whether its accounts have been filed.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not necessarily the same in every case. Paying any penalty does not remove the requirement to file the outstanding accounts, so the priority is usually to get them prepared and delivered as soon as possible. Where a penalty appeal is considered, eligibility depends on the circumstances and the applicable rules. We can assist with preparing overdue first-year accounts and putting the company back on track.
