First Year Accounts for Limited Company in Ellesmere, Prepared and Filed Properly

A company’s first set of statutory accounts is one of the earliest real compliance tasks after incorporation, and it arrives whether or not the business feels ready for it. Micro Entity Accounts supports directors in Ellesmere with exactly that work: reviewing the accounting records, preparing the first-year statutory accounts, building the balance sheet and, where the reporting framework requires one, the profit and loss account, and delivering the accounts to Companies House where filing applies. If the company has started trading, there may also be a Corporation Tax Return, such as a CT600, to prepare for HMRC. That is a separate filing, sent to a different authority for a different purpose, and we keep the two clearly apart so nothing is assumed to be covered when it is not.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Why Do They Matter in Ellesmere?

First-year accounts are the first set of annual statutory accounts a limited company prepares. They cover the company’s initial accounting period, which normally begins on the date of incorporation and ends on the company’s first accounting reference date. Companies House sets that accounting reference date when the company is formed, typically the last day of the month in which the first anniversary of incorporation falls, although the exact position always depends on the individual company’s records rather than on a general rule applied across the board. Every limited company has to prepare accounts for its accounting period, and where required those accounts are filed at Companies House. This obligation does not disappear because the company is new, because it has traded only lightly, or because trading has not started yet. A company with minimal activity still has a statutory position to deal with, and how that position is reported depends on the facts of the case. Very limited activity does not automatically make a company dormant in the statutory sense, so it is worth checking the position rather than assuming a simpler route applies. What the accounts actually contain depends on the reporting framework the company uses. For many smaller companies this means a balance sheet, a profit and loss account where the framework requires one, and the supporting notes and statements that go with the accounts, including the directors’ responsibilities. A company may be able to use the micro-entity framework if it meets the eligibility conditions for the relevant accounting period. FRS 105 is the financial reporting standard written for qualifying entities using that micro-entity framework, but it does not apply to every new company by default, and small-company reporting under another framework may be the more appropriate choice. Eligibility is a question of the company’s circumstances and the rules for that period, not simply a matter of being newly incorporated. Three separate obligations are often bundled together in practice, and separating them avoids problems later. First-year statutory accounts are prepared for the company and, where required, delivered to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC, and the company’s first Corporation Tax accounting period does not necessarily line up exactly with the period covered by its statutory accounts. A confirmation statement is a third, different filing: it confirms that the company’s registered information is up to date and does not replace the accounts in any way. Where a company is VAT registered, its VAT returns are separate again. For directors in Ellesmere dealing with a first accounting period, the practical starting point is usually the accounting records. Bank transactions, sales and income records, purchase invoices, expense receipts, asset purchases, director transactions, share capital information, loans and any payroll or VAT records where relevant all feed into the figures. We review what exists before the accounts are prepared, so the numbers rest on something verifiable rather than on estimates that may need unpicking later.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

First Year Accounts for Limited Company in Ellesmere — Get the First Set Right

The first set of accounts tends to set the pattern for every year that follows, and it is also the set most likely to catch a director out, because the accounting period, the reporting framework and the Companies House filing requirements do not follow the same calendar as the tax year. If you are unsure which records need to be brought together, whether the company meets the conditions for micro-entity reporting, or how the Companies House filing sits alongside a CT600 for HMRC, Micro Entity Accounts can prepare and file the first-year accounts on the company’s behalf. The work is carried out by people who deal with newly incorporated companies routinely, with clear pricing and no hidden costs, and we will explain what applies to your first accounting period before anything is submitted. Send over your company details and accounting records, and we will set out the next steps for your first year accounts.

First-year accounts are the company's first set of annual statutory accounts. They cover the initial accounting period, which normally runs from the date of incorporation to the first accounting reference date set for the company, and they generally include a balance sheet, a profit and loss account where the applicable framework requires one, supporting notes and the statements that accompany the accounts. Where required, they are filed at Companies House.

The due date depends on the company's incorporation date and its accounting reference date rather than on a single fixed rule for all companies. First accounts usually benefit from a longer filing window than accounts for later periods, but the exact deadline still needs to be worked out from the company's own records. We confirm the applicable filing date for your company once the accounting reference date and period are established. Failing to file on time can lead to Companies House consequences, and settling any penalty does not remove the requirement to file the outstanding accounts.

It varies with what the company has actually done. Typically we would look at bank transactions and statements, sales and income records, purchase invoices, expense receipts, details of any assets bought, director transactions or loans, share capital information, and payroll or VAT records if those apply. Companies with very little activity will naturally have less to provide. If you are based in Ellesmere and are not sure what is relevant, we can work through the list against your circumstances before preparation begins.

Yes, in general a limited company must prepare annual accounts and file them with Companies House where filing is required, and that duty starts with the first accounting period. Companies House does not prepare the accounts and does not approve them; filing places them on the public record. Where a company has had no significant accounting transactions, its reporting position depends on its individual circumstances and the applicable rules, so it is worth checking rather than assuming a dormant basis applies.

No. Statutory accounts are prepared for the company and, where required, delivered to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has Corporation Tax obligations, and it is a separate filing with a separate purpose. Figures from the accounts are often used when working out the company's tax position, but filing the accounts does not submit the CT600, and filing the CT600 does not complete the Companies House accounts filing. The first Corporation Tax accounting period may also differ from the period covered by the statutory accounts.

It may be able to, if it meets the eligibility conditions that apply for the relevant accounting period. Qualification is not automatic for new companies, for startups, or simply because turnover is low. Where a company does qualify, FRS 105 is the reporting standard used for entities applying the micro-entity framework. If it does not, small-company reporting under a different framework may be suitable, and we assess this as part of preparing the first-year accounts.

No, these are two different filings with different purposes. A confirmation statement confirms that the company's registered details, such as its directors, registered office and share capital, are correct and up to date. It has its own filing schedule and fee requirements, and a company may need to submit one during its first year regardless of what the accounts show. Keeping Companies House information current is a separate responsibility from preparing the accounts.

Missing the applicable filing deadline can result in Companies House consequences, which may include late filing penalties that increase the longer the accounts remain outstanding. The outcome depends on how overdue the accounts are and on the company's circumstances, and paying a penalty does not remove the obligation to file. Where an appeal is considered, eligibility depends on the circumstances and the applicable rules. If your accounts are already overdue, it is usually better to deal with them promptly, and we can assist with preparing and filing the outstanding accounts.
