First Year Accounts for Limited Company in East London: Preparation and Filing Support

Your company’s first set of statutory accounts sets the tone for everything that follows. If you have recently incorporated a limited company in East London, the first accounting period brings statutory accounts, an accounting reference date to work to, and a Companies House filing to think about — often alongside separate Corporation Tax obligations. We help directors prepare and file those first-year accounts properly, starting with a review of the accounting records you hold, then building a balance sheet and, where applicable, a profit and loss account that reflects the company’s actual activity. Whether the year has been busy or quiet, we can help you understand your reporting framework, keep the filing on track and know where the separate HMRC requirements sit. Get in touch to discuss your first-year position.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the date the company began trading where that differs, through to the company’s first accounting reference date. They are not optional simply because the company is new, and they are not the same thing as a Corporation Tax Return, a confirmation statement or a VAT Return — each of those is a separate obligation with its own purpose and its own destination. The first accounting period is normally set by the company’s incorporation date and its accounting reference date, and Companies House applies specific rules to a company’s first accounts that can differ from later years. Because of this, directors in East London should check the company’s own filing requirements rather than assume the timing matches a standard annual cycle. Where a company meets the eligibility conditions for the relevant accounting period, it may be able to prepare accounts under the micro-entity framework, with FRS 105 as the applicable financial reporting standard. That is a question of eligibility and circumstance, not something that applies automatically to every new company, and certainly not something to assume simply because a company’s activity has been limited. Many newly incorporated companies will instead prepare accounts under a small-company framework, and some will follow full reporting requirements. On the micro-entity format specifically, the accounts are typically shorter and more simplified, but they still need to be accurate. A balance sheet is always required, and the level of detail in the profit and loss account and notes depends on the framework used. Directors remain responsible for the accuracy of the records and for ensuring the company meets its filing obligations, even when an accountant prepares the accounts. If you are unsure which framework applies to your company, that is usually the first thing worth clarifying.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in East London Prepared Correctly

Most directors approaching their first accounts deadline are dealing with something they have not done before: unfamiliar terminology, a Companies House filing they have never made, and uncertainty over whether the company is a micro-entity, a small company or something else entirely. Micro Entity Accounts works with newly incorporated limited companies in East London to take that uncertainty out of the process — reviewing your accounting records, preparing the statutory accounts, and supporting the Companies House filing where required, while being clear about which obligations sit with HMRC instead. If you would rather have your first accounting period handled by someone who deals with this every day, speak to us about your company’s circumstances.

They are the company's first set of annual statutory accounts, covering its initial accounting period. That period normally runs from incorporation, or from the date trading began where that is later, up to the company's first accounting reference date. The accounts usually include a balance sheet and, depending on the reporting framework the company uses, a profit and loss account and supporting notes. They are a statutory requirement in their own right and are separate from any Corporation Tax Return submitted to HMRC.

The deadline depends on the company's incorporation date and its accounting reference date, because Companies House applies specific rules to a company's first accounts that can differ from the rules for later years. That means two newly incorporated companies can have different first filing dates. Rather than rely on a general rule of thumb, it is worth confirming your company's own deadline on its Companies House record, or asking an accountant to check it for you.

It depends on what the company has actually done during the period. Typically we would look at bank statements and transactions, sales or income records, purchase invoices and business expenses, any asset purchases, director transactions and loans, share capital details, and payroll or VAT records where those are relevant. If the company has had very little activity, the records needed will be lighter, but the accounts still have to be prepared from whatever information exists. Where records are incomplete, we can help you work out what to reconstruct.

A limited company generally has statutory accounts filing obligations, and being newly incorporated does not remove them. This applies even where the company's activity has been limited or trading has not yet commenced, although the reporting position in those circumstances depends on the facts and the applicable rules rather than being automatically described as dormant. If you are unsure what applies to your company, it is better to confirm the position early than to assume no filing is needed.

They are the same type of document — annual statutory accounts — but the first set sits in an initial accounting period that is governed by specific rules and may cover a longer or shorter period than a standard twelve months. In later years the company moves onto a more predictable annual cycle. The preparation process is broadly similar; what differs is the period being reported on and the way the first filing date is determined.

No. Statutory accounts are prepared for the company and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The figures in the accounts are often used when working out the company's Corporation Tax position, but the two filings serve different purposes and go to different places. Completing one does not complete the other, and a company's first Corporation Tax accounting period may not line up exactly with its statutory accounts period.

Some newly incorporated companies may qualify for the micro-entity framework if they meet the applicable eligibility conditions for the accounting period in question, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. However, not every new company qualifies, and a company with low turnover does not automatically fall into the category. Eligibility has to be assessed on the company's own circumstances, which is something we can look at as part of preparing your first-year accounts.

No — these are separate filings. A confirmation statement keeps the company's registered details up to date at Companies House, while the accounts report the company's financial position for the accounting period. Filing one does not satisfy the other, and preparing accounts does not automatically complete any Corporation Tax, VAT or confirmation statement obligation the company may have. Directors in East London usually find it helpful to view all of these as a single compliance calendar, even though each is dealt with separately.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the outcome depends on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is to get the position resolved as quickly as possible, and in some circumstances an appeal against a penalty may be available depending on the rules and the reasons for the delay. Professional support can help you understand the options.
