First Year Accounts for Limited Company in East Leeds, Prepared and Filed With Professional Support

A newly incorporated company in East Leeds has a set of statutory accounts to prepare for its first accounting period, and that first set often raises more questions than any that follow. Micro Entity Accounts helps directors work through it: we review the accounting records, prepare the first statutory accounts, and file them with Companies House where required. We also explain how the first accounting period and accounting reference date affect the filing deadline, and how the company’s reporting framework is determined. Where Corporation Tax applies, we can support with accounts information for a CT600, but that return is a separate HMRC requirement — Companies House accounts and Corporation Tax filings serve different purposes and go to different authorities.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Does the Micro-Entity Framework Apply?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has an accounting reference date, and its first accounting period runs from that starting point until the first accounting reference date — often a longer period than in later years, because the first period is measured from incorporation rather than from a normal twelve-month cycle. Companies House expects a first set of accounts to be delivered where they are required, and the deadline depends on the company’s incorporation date, accounting reference date and the applicable filing requirements, so it varies from company to company. Some newly incorporated companies qualify for the micro-entity reporting framework, which is set out in FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Others fall under the small-company regime or prepare accounts under a fuller framework. Eligibility depends on the company’s circumstances and the thresholds that apply for the relevant accounting period, and it is not something to assume — a new company with modest activity does not automatically qualify, and FRS 105 does not automatically apply. For companies in East Leeds preparing their first set of figures, we look at eligibility before deciding how the accounts should be drawn up. It also helps to be clear about what first year statutory accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC where applicable, and separate again from the confirmation statement that keeps Companies House records up to date. Filing one does not complete the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts a company prepares, covering the period from incorporation to its first accounting reference date. They typically include a balance sheet, and a profit and loss account where the applicable framework requires one, together with any notes and the directors' responsibilities statement required by that framework. They are prepared from the company's accounting records and, where required, delivered to Companies House. They are not the same as a Corporation Tax Return, which goes to HMRC.

The deadline is based on your company's accounting reference date, and the first filing window is generally longer than for later years because it is measured from the incorporation date. It is not the same for every company, so the reliable starting point is the date Companies House has recorded against your company. We check that date when we take on a first-year filing and confirm what it means for your company's timetable.

It depends on what the company has done, but it usually includes bank transactions and statements, sales and income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director loans or transactions, and any loans or finance arrangements. Payroll and VAT records are relevant where the company operates those schemes. If activity has been limited, we still need to understand the transactions that did take place so the accounts reflect the correct position.

A company may still have statutory filing obligations even where it has had limited or no trading activity. Whether dormant accounts are appropriate depends on the company's circumstances and the applicable rules — it should not be assumed automatically. A company that has received share capital, incurred costs or hold assets may not meet the dormant criteria. We assess the position before deciding how the accounts should be prepared.

No. Statutory accounts are prepared for the company's members and delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has a Corporation Tax obligation. Information from the accounts often feeds into the tax computations, but the two are separate filings with separate purposes and separate destinations. Completing one does not complete the other, and it is worth noting that the first Corporation Tax accounting period may not be identical to the statutory accounts period.

Possibly, but eligibility is not automatic. The micro-entity framework under FRS 105 is available to companies that meet the applicable eligibility conditions for the relevant accounting period, and those conditions are assessed against the company's own figures and circumstances. A low-activity startup does not automatically qualify, and a company that qualifies should still consider whether the framework suits how its accounts will be used. We confirm eligibility before preparing the accounts.

No. They are two separate obligations. The confirmation statement confirms that the information Companies House holds about the company — such as directors, registered office and share capital — is up to date, and it is filed separately. Filing first year accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and those consequences are not necessarily the same in every case. Paying any late filing penalty does not remove the requirement to file the outstanding accounts. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable rules. If your first accounts are overdue, the sensible step is to get the accounts prepared and filed as soon as the information allows, and we can assist with that.
