First Year Accounts for Limited Company in East Hoathly — Professional Preparation and Filing Support

A company’s first accounting period shapes how smoothly the rest of its compliance runs, and the accounts prepared for it need to be accurate, properly presented and delivered on time. Micro Entity Accounts works with newly incorporated and newly trading limited companies in East Hoathly to bring their accounting records into order, prepare their first statutory accounts and file them with Companies House where required. We also make the boundaries clear: a Corporation Tax Return such as a CT600 is submitted separately to HMRC, and a confirmation statement is a different Companies House filing altogether. That way, nothing important slips past you in your first year of trading.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Does Your New Limited Company Qualify?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period — the period that normally starts on the date of incorporation. They are generally prepared once that period ends and are then filed with Companies House where required. The first accounting period is often longer than the periods that follow, so the exact dates depend on your incorporation date and the accounting reference date Companies House has set for your company rather than on a single rule that fits every new business. A typical set of first accounts includes a balance sheet and, where the applicable framework requires one, a profit and loss account, together with any notes and confirmation of the directors’ responsibilities. The figures come from the company’s accounting records: bank and credit card transactions, sales and income records, purchase invoices, expense receipts, asset purchases, share capital details, director transactions, loans and finance, and payroll or VAT records where those apply. Not every company will have all of these in its first year, and it is fine to work from what genuinely exists. Some companies qualify for the micro-entity framework and the simplified reporting that comes with it, including FRS 105 where the eligibility conditions are met. That is not automatic. A newly incorporated company is not automatically a micro-entity, and low turnover alone does not settle the question — eligibility is assessed against the applicable requirements for the relevant accounting period, and the appropriate framework should be confirmed before preparation begins. It also helps to be clear about what first year accounts are not. They are not a Corporation Tax Return. A CT600 is submitted separately to HMRC where applicable, and a company’s first Corporation Tax accounting period does not always match its statutory accounts period, even though the accounting information behind both is closely related. They are not a confirmation statement either, which is a separate Companies House filing that keeps the public register current. And where a company has had limited activity or has not yet begun trading, it may still have statutory filing obligations — the reporting position depends on the company’s actual circumstances and the applicable rules rather than an assumption that nothing needs to be filed.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of statutory accounts your company prepares for its initial accounting period, which normally begins on the date of incorporation. They include a balance sheet and, where the applicable framework requires one, a profit and loss account, along with any notes and confirmation of the directors' responsibilities. Once prepared, they are generally filed with Companies House where required. They are separate from a Corporation Tax Return, which is submitted to HMRC, and from a confirmation statement, which is a distinct Companies House filing.

It depends on your incorporation date and the accounting reference date that applies to your company. A first accounting period can be longer than later ones, which is why Companies House publishes the specific deadline for your company on its register. Because first-year dates are rarely identical from one company to the next, we check the dates that apply to you rather than relying on a general assumption.

The accounts are built from the company's accounting records. In practice that usually means bank and credit card transactions, sales and income records, purchase invoices and expense receipts, details of assets bought or sold, share capital information, director's loan and other loan balances, and payroll or VAT records where those apply. A new company will not necessarily have all of these in its first year, so we work from what actually exists and flag anything that looks like it is missing.

In most cases, yes. A limited company generally has to prepare and file statutory accounts for its first accounting period, even where activity has been limited. That filing does not replace other obligations, such as a confirmation statement or a Corporation Tax Return where one is due. If you are unsure whether your East Hoathly company has reached its first filing date, checking the register is more reliable than assuming there is nothing to do.

Not necessarily in the same form, but it is not automatic. A company with no significant accounting transactions may still have filing obligations, and whether it can be treated as dormant depends on its circumstances and the applicable rules rather than a simple assumption that nothing happened. We look at what the company has actually done during the period before deciding how the first accounts should be approached.

No. First year statutory accounts are prepared for the company and filed with Companies House where required. A CT600 is a Corporation Tax Return submitted separately to HMRC. The company's first Corporation Tax accounting period does not always line up exactly with its statutory accounts period, and filing the accounts does not submit the tax return for you. Figures from the accounts often inform the tax position, but the two filings have different purposes and different destinations.

Some do, but certainly not all of them. Qualifying is not automatic simply because a company is newly formed or small, and low turnover on its own does not settle the matter. The micro-entity framework, and FRS 105 as the standard applicable to qualifying entities using it, depends on meeting the eligibility conditions for the relevant accounting period. We assess your company's position against those criteria before deciding which reporting framework is appropriate.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties that vary depending on how late the filing is. Paying a penalty does not remove the requirement to file the outstanding accounts. If your first accounts are already overdue, the priority is to get them prepared and submitted, and where you believe there was a valid reason for the delay, appeal eligibility depends on the circumstances and the applicable rules.
