First Year Accounts for Limited Company in Dymock — Prepared and Filed With Professional Support

Incorporating a limited company brings a set of statutory obligations that begin well before the first invoice is ever raised. Micro Entity Accounts works with newly incorporated and newly trading companies in Dymock to prepare their first year accounts for limited company purposes, reviewing the underlying accounting records, drafting the statutory accounts under the reporting framework that applies to the company, and supporting delivery to Companies House where that filing is required. Because the first accounting period is often longer than the twelve months directors expect, getting the structure and records right from the start saves time later. We also help directors see how the Companies House filing sits alongside separate HMRC obligations, such as a Corporation Tax Return or CT600 where one is due, since the two are prepared for different purposes and submitted to different bodies.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Could That Framework Apply to You?

First year accounts are the first set of annual statutory accounts a limited company prepares, covering its initial accounting period. That period normally runs from the date of incorporation to the company’s first accounting reference date, although the length of a first period can differ from later ones, so the exact dates always depend on the company’s own incorporation details and Companies House record. The accounts are prepared from the company’s accounting records and typically include a balance sheet, and a profit and loss account where applicable, together with any notes required by the applicable reporting framework. Directors remain responsible for ensuring the accounts are prepared and delivered to Companies House where required, even when an accountant handles the practical work. Some companies may qualify for the micro-entity accounting framework, which allows a simplified set of accounts to be prepared. That simplified route is not automatic. Eligibility depends on whether the company meets the applicable criteria for the relevant accounting period, and if it does, FRS 105 is the financial reporting standard used by qualifying entities reporting under the micro-entity framework. A newly incorporated company with limited activity does not automatically fall into this category, and the correct framework should be confirmed by looking at the company’s circumstances rather than assumed. A company that does not meet the micro-entity criteria may still fall within the small company regime, or may need to report on a fuller basis. It is also worth separating three things that directors often group together. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC, and the company’s first Corporation Tax accounting period does not always line up exactly with the statutory accounts period. A confirmation statement is a third, separate filing that confirms the information held on the Companies House register. Dealing with one does not discharge the others, and directors in Dymock managing their first compliance cycle should plan for each obligation individually.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Get Your First Year Accounts for Limited Company in Dymock Prepared Properly From the Outset

One of the most common concerns for directors of newly incorporated companies in Dymock is simply not knowing what the first set of statutory accounts should contain, how the figures should be recorded, or which framework the company should be reporting under. Micro Entity Accounts can take that uncertainty off your desk by reviewing your accounting records, preparing the accounts in line with the framework that applies to your company, and supporting you with the Companies House filing where it is required — while being clear about the obligations, such as a Corporation Tax Return, that sit separately with HMRC. If your first accounting period is already under way, arranging professional support early gives you time to sort out records, confirm your accounting reference date and avoid a rushed approach at the deadline.

They are the first set of statutory annual accounts a limited company prepares, covering its initial accounting period. That period usually begins on the date of incorporation and ends on the company's first accounting reference date, although first periods are often longer than the twelve months that later periods normally cover. The accounts are built from the company's accounting records and generally include a balance sheet, a profit and loss account where applicable and any supporting notes required by the reporting framework the company uses. Where required, they are then delivered to Companies House.

The due date is not the same for every company. It depends on the company's incorporation date, its accounting reference date and the filing requirements that apply to it, which is why Companies House often allows longer for a first set of accounts than for subsequent years. The safest approach is to check the company's own record at Companies House, which shows the accounting reference date and the filing deadline the company has been given. We can help directors in Dymock confirm those dates as part of the accounts preparation process.

It depends on what the company has actually done during the period. Typical information includes bank statements and transaction listings, sales or income records, business expense receipts and purchase invoices, details of any assets bought, share capital information, and records of any director's loan account movements. Where the company runs payroll or is VAT registered, the relevant payroll and VAT records are also useful. Companies with very little activity may only need a small amount of information, but accurate records still matter, because the accounts must reflect what genuinely happened.

In most cases, yes. A limited company generally has to prepare and deliver statutory accounts to Companies House for each financial year, including its first. This does not change simply because the company has not started trading, has had limited activity or has not yet generated income. There are specific circumstances where a company may be exempt from filing, and a company with no significant transactions may have a different reporting position, but those outcomes depend on the company's own situation and the applicable rules rather than being automatic.

No. They are separate filings with separate purposes and separate destinations. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts are often used as a starting point when working out the company's tax position, but submitting one does not complete the other. It is also worth remembering that a company's first Corporation Tax accounting period and its statutory accounts period may not be identical.

It can, but not automatically. Micro-entity status depends on whether the company meets the applicable eligibility criteria for the relevant accounting period, and those criteria should be checked rather than assumed. A newly incorporated company with low activity is not automatically a micro-entity, and a company with modest turnover does not necessarily qualify either. Where a company does meet the conditions, FRS 105 is the standard used by qualifying entities reporting under the micro-entity framework. If it does not qualify, it may still fall within the small company regime or need to report on a fuller basis.

They are two different requirements and one does not replace the other. A confirmation statement confirms that the information Companies House holds about the company — such as directors, registered office and share capital — is up to date. First year statutory accounts report the company's financial position and performance for its initial accounting period. A company may need to submit a confirmation statement during its first year of operation regardless of where it is in the accounts cycle, and keeping the Companies House register accurate throughout makes the accounts process smoother.

Missing the applicable filing deadline can lead to consequences from Companies House, and late filing penalties may apply depending on how late the accounts are and the company's filing history. The consequences are not identical in every case. Paying a penalty does not remove the requirement to file the outstanding accounts, so the accounts still need to be delivered. If a penalty is issued and the director believes there were valid reasons, an appeal may be possible, but eligibility depends on the circumstances and the applicable rules. If accounts in Dymock or elsewhere are already overdue, the priority is to get them prepared and filed.
