First Year Accounts for Limited Company in Ayr — Prepared, Reviewed and Filed

A company’s first set of statutory accounts sets the pattern for every filing that follows, so it is worth getting the numbers right at the outset rather than repairing them later. We help newly incorporated and newly trading limited companies in Ayr prepare their first year accounts, check that the underlying accounting records actually support the figures, and deal with delivery to Companies House where that is required. Corporation Tax sits separately from this — a CT600 is submitted to HMRC, while statutory accounts go to Companies House — and we can explain clearly where each obligation falls for your company. Whether you have barely started trading or already have a full year of transactions behind you, the aim is the same: accurate first-year accounts, prepared properly and explained in plain English.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Does Your Ayr Company Qualify?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are a legal requirement for companies that are within scope of the accounts filing regime — being recently incorporated does not make them optional, and neither does a quiet first few months of trading. The accounts are prepared from the company’s accounting records and, where required, delivered to Companies House. The first accounting period generally begins on the date of incorporation, or from the date the company began trading depending on the circumstances, and it ends on the company’s first accounting reference date. For many companies that opening period is longer than the usual twelve months, which is one reason first year accounts often catch directors by surprise. Later periods normally follow a standard twelve-month cycle, but the first one depends on the incorporation date and the accounting reference date recorded at Companies House. Because of this, it is worth confirming your company’s own dates rather than assuming the pattern used by another business. What the accounts contain depends on the reporting framework that applies. Typically there is a balance sheet showing assets, liabilities and shareholders’ funds, together with a profit and loss account where the applicable framework requires one, plus any notes and a directors’ report where relevant. Directors remain responsible for making sure the accounts are prepared and filed on time, even when an accountant handles the work — professional support means assistance with preparing, reviewing and submitting the information, not a transfer of that responsibility. Some small companies may qualify for simplified reporting under the micro-entity framework, which is normally based on FRS 105, the financial reporting standard applicable to qualifying entities. Qualification is not automatic and is not simply a matter of being newly incorporated or having low turnover. Eligibility depends on meeting the applicable criteria for the relevant accounting period, and a company that qualifies one year may not qualify the next. Where a company does not qualify, small-company or fuller reporting may be appropriate instead. We look at the position for your company and the period in question before deciding which framework to use. It also helps to separate first year accounts from the other filings that sit around them. A Corporation Tax Return, such as a CT600, is submitted to HMRC and is a distinct obligation — and the company’s first Corporation Tax accounting period does not always match the statutory accounts period. A confirmation statement is another separate requirement, used to keep Companies House informed about the company’s officers, shareholders and registered details, and filing accounts does not replace it. VAT returns, payroll submissions and bookkeeping records are separate again. Where a company has had little or no activity, its reporting position still depends on its own circumstances and the applicable rules rather than automatically being treated as dormant.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Ayr Prepared Correctly

Most directors filing for the first time are unsure about one or two things — which reporting framework fits, exactly what the accounting period covers, or how the Companies House filing sits alongside their Corporation Tax and confirmation statement duties. That uncertainty is entirely normal, and it is far easier to resolve before the filing date than after it. Micro Entity Accounts helps limited companies in Ayr with the preparation, review and filing of first year statutory accounts, working from your records and explaining each step as it comes. If you would like your company’s position reviewed and the accounts handled properly, speak to our team.

They are the first set of statutory accounts a company prepares covering its initial accounting period. The period normally starts on the date of incorporation, or the date the company began trading in some circumstances, and ends on the company's first accounting reference date. The accounts are prepared from the company's accounting records and are delivered to Companies House where required.

It depends on your incorporation date and accounting reference date. The first period is often longer than twelve months, which is why the first filing does not always fit the same pattern as later years. Companies House sets the accounts filing deadline from the accounting reference date, while HMRC sets separate deadlines for Corporation Tax. It is worth checking your company's specific dates rather than relying on a general rule of thumb.

Generally: bank statements and transactions, sales or income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director loan movements, and any loans or finance arrangements. Payroll and VAT records are relevant where those registrations apply. Not every company will have all of these, and if records are incomplete we can help work out what is still needed.

Where the company is within scope of the filing requirements, yes — and this applies even if trading has been limited or has not yet started. A company with minimal activity may still have statutory filing obligations, although its exact reporting position depends on its circumstances and the applicable rules rather than automatically being treated as dormant.

No. Statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC. The figures in the accounts are often used when preparing the Corporation Tax position, but the two filings have different purposes and go to different places. Completing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

Some new companies can, but it is not automatic. Eligibility under the micro-entity framework, which is normally based on FRS 105, depends on meeting the applicable criteria for the relevant accounting period. A newly incorporated company with low turnover does not necessarily qualify, and a company that qualifies in one period may not qualify in another. We assess eligibility against your company's circumstances before choosing a framework.

No. They are separate requirements. The confirmation statement updates Companies House on matters such as officers, shareholders and registered details, and it must be dealt with independently of the accounts. Filing your first year accounts does not satisfy the confirmation statement obligation, and keeping your Companies House information accurate remains part of the company's compliance responsibilities.

Delivering accounts after the applicable deadline can result in late filing penalties from Companies House, and the consequences can increase the longer the accounts remain outstanding. The outcome depends on the company type and how late the filing is, so cases are not all treated the same. Paying a penalty does not remove the requirement to file, and appeal eligibility depends on the circumstances. If accounts are already overdue, reviewing the position and completing the outstanding filing is usually the sensible first step.
