First Year Accounts for Limited Company in Allesley — Prepared and Filed With Professional Support

A first set of statutory accounts is a milestone for any newly incorporated company, and it pays to get the foundations right. Micro Entity Accounts supports directors of newly incorporated and newly trading limited companies in Allesley with the preparation of their first year accounts — from reviewing the accounting records behind the figures, to drafting a balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. We also explain how your accounting reference date shapes the first accounting period, and which reporting framework your company is likely to fall under. Corporation Tax is a separate matter: a company may also need to submit a CT600 to HMRC, and that is not the same filing as the accounts sent to Companies House.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

Understanding First Year Accounts for a Micro Company: What New Limited Companies in Allesley Should Know

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date the company was incorporated and runs to its first accounting reference date, although the exact dates are specific to each company and can, in some circumstances, be shortened or extended. The accounts typically include a balance sheet and, where applicable, a profit and loss account, along with any notes required by the reporting framework the company uses. Preparing them is not optional simply because a company is new or has traded only lightly. A limited company incorporated in Allesley — or anywhere else in the UK — is generally expected to prepare accounts for its first accounting period and to deliver them to Companies House where required. Directors remain responsible for making sure this happens, even when an accountant is engaged to prepare the figures. Some companies may qualify to report under the micro-entity framework if they meet the applicable eligibility conditions for the relevant accounting period. FRS 105 is the financial reporting standard for entities using that framework, but eligibility is not automatic: balance sheet totals, turnover, employee numbers and other criteria all play a part, so the appropriate framework needs to be considered case by case rather than assumed. It is also worth being clear about what first year accounts are not. They are not a Corporation Tax Return and they are not a CT600 — Corporation Tax is a separate compliance matter handled with HMRC. They are also not a confirmation statement, which is a distinct Companies House filing that keeps the public register up to date.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of statutory accounts a company prepares for its initial accounting period, which normally starts on the date of incorporation and ends on the company's first accounting reference date. The accounts usually consist of a balance sheet and, where applicable, a profit and loss account with supporting notes. They are prepared from the company's accounting records and are delivered to Companies House where required. They are separate from a Corporation Tax Return, which goes to HMRC, and from a confirmation statement.

The due date depends on the company's incorporation date and its accounting reference date, so it is not the same for every company. Companies House sets out the applicable deadline based on those dates, and a newly incorporated company's first filing date is often different from the deadline that applies to its later accounts. Because the calculation is company-specific, it is worth confirming the exact date rather than working from a general rule. We can check the position from your company records and help you plan around it.

It depends on what the company has actually done during the period. Typically we would look at bank transactions, sales and income records, purchase invoices and business expenses, asset purchases, director transactions and any loans or finance. Share capital details from incorporation are also relevant, along with payroll records or VAT records where the company has those obligations. If the company has had little activity, far less information may be needed — but the accounts still have to reflect the position accurately. Not every company will have every type of record.

In most cases a limited company is expected to prepare accounts for its first accounting period and deliver them to Companies House where required. Filing obligations do not disappear simply because the company is new or has had limited activity. Directors remain responsible for meeting those obligations even when an accountant prepares the accounts. It is worth noting that Companies House does not prepare statutory accounts and does not approve them in a professional or regulatory sense; the accounts are the company's own, and responsibility for their accuracy stays with the directors.

No. They serve different purposes and go to different places. Statutory accounts are prepared for the company's members and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts often feed into the tax computation, but filing one does not complete the other. A company's first Corporation Tax accounting period and its statutory accounts period may not necessarily be identical either, so both need checking.

No, they are separate filings with different purposes. A confirmation statement keeps the information on the public register up to date — directors, registered office, share capital and similar details — while first year accounts report the company's financial position for its initial accounting period. Filing accounts does not satisfy the confirmation statement requirement, and submitting a confirmation statement does not complete the accounts filing. A limited company may need to deal with both, so it is worth keeping track of each obligation separately.

Some newly incorporated companies may qualify to report under the micro-entity framework, but it is not automatic simply because a company is new, small or has low turnover. Eligibility depends on the applicable thresholds for the relevant accounting period, and the position has to be assessed against the company's own circumstances. Where a company does qualify, FRS 105 is the financial reporting standard that applies to entities using the micro-entity framework. If your company does not qualify, small-company or full reporting requirements may apply instead, and we can help you work out which is appropriate.

Failing to deliver accounts to Companies House by the applicable deadline can lead to consequences, which may include penalties that increase the longer the accounts remain outstanding. The outcome is not identical in every case, and paying a penalty does not remove the requirement to file the overdue accounts. If you are already past the date, it is usually best to deal with the filing as soon as possible rather than wait. Appeal eligibility depends on the circumstances and the applicable rules, and we can talk you through the options available to a company in Allesley or elsewhere.
