First Year Accounts for Limited Company in Allerford — Statutory Accounts Prepared, Reviewed and Filed

A company’s first set of statutory accounts is one of the earliest compliance tasks a newly incorporated limited company in Allerford has to deal with, and it often lands before the business has settled into any kind of routine. Micro Entity Accounts supports directors through the whole exercise: reviewing the accounting records you hold, preparing the balance sheet and, where the applicable framework requires it, the profit and loss account and supporting notes, then delivering the accounts to Companies House where required. We also help you work out which reporting framework genuinely fits your circumstances, because not every new company qualifies for micro-entity or small-company reporting. Corporation Tax is a separate matter — a CT600 is submitted to HMRC where applicable, not to Companies House — and we can explain how the two obligations sit alongside each other so nothing is overlooked in that first year.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company — and Does Every New Limited Company Qualify?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date, although the length of a first period can differ from twelve months depending on when the company was incorporated and how its accounting reference date falls. Because of this, the first accounting period is not identical for every company, and neither is the deadline for getting the accounts filed. The accounts are built from the company’s own accounting records — bank transactions, sales and income records, expenses, purchase invoices, asset purchases, director transactions, share capital details and any loans or finance arrangements — and typically include a balance sheet, with a profit and loss account and notes where the relevant framework requires them. Directors remain responsible for making sure the company meets its statutory obligations, even where an accountant prepares the figures and manages the filing. A company may be able to use the micro-entity accounting framework if it meets the applicable eligibility requirements for the accounting period in question, and qualifying micro-entities generally report under FRS 105, the financial reporting standard for that framework. That is not automatic, and a company with modest activity does not necessarily qualify, so eligibility needs to be considered on its own merits before the accounts are drafted. It is also important to keep three separate obligations apart. Statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and a company’s first Corporation Tax accounting period does not always line up exactly with its statutory accounts period. A confirmation statement is a third, separate filing that confirms the information Companies House holds about the company. Completing one does not complete the others, and for limited companies in Allerford preparing their first accounts, understanding that division is often the difference between a straightforward filing and a scramble at the end.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Get Your First Year Accounts for Limited Company in Allerford Prepared With Confidence

If your company has recently been incorporated and you are not certain what the first set of statutory accounts needs to contain, which reporting framework applies, or when the accounts are actually due, you are in a familiar position — most directors are. Micro Entity Accounts provides professional preparation and filing support for first-year limited company accounts, starting with a review of the records you already have and a clear explanation of how your accounting period and accounting reference date affect what needs to be filed and when. Where Corporation Tax is also due, we will make sure you understand that this is an HMRC matter handled separately from your Companies House accounts filing, rather than something the accounts submission covers. With transparent fees and no hidden costs, the practical benefit is simple: accurate accounts, fewer surprises, and a director who knows exactly what has been filed and what still needs attention.

They are the first set of statutory annual accounts your company prepares, covering its initial accounting period. That period usually starts on the date of incorporation and ends on the company's first accounting reference date. The accounts are prepared from the company's accounting records and typically include a balance sheet, plus a profit and loss account and notes where the applicable reporting framework requires them. They are then delivered to Companies House where required. First-year accounts are not a Corporation Tax Return and they are not a confirmation statement — those are separate filings with separate purposes.

The answer depends on your company's incorporation date and its accounting reference date, so it is not the same date for every newly incorporated company. First accounts are generally given more time than accounts for later financial years, and the deadline is counted from a different starting point. Because a first accounting period can be longer or shorter than twelve months, it is worth confirming your company's own accounting reference date and filing deadline rather than assuming a standard date applies. We can check this for you against the company's Companies House record.

In practice, we work from whatever is relevant to your company's circumstances. Commonly that means bank statements and transaction listings, sales and income records, business expense receipts and purchase invoices, details of any assets bought, director loan or expense transactions, share capital information, and any loans or finance agreements. Payroll and VAT records may also be relevant where the company operates PAYE or is registered for VAT. Not every company will have all of these, and there is no requirement to have traded or generated income before accounts are prepared.

A limited company generally does have statutory accounts filing obligations, and a recent incorporation date does not remove them. If the company has had very limited activity, or has not yet started trading, the reporting position still depends on the company's specific circumstances and the applicable rules rather than automatically being treated as dormant. Accounts may still need to be prepared and filed, and a separate confirmation statement may also be required. It is worth taking advice early rather than assuming no action is needed.

They are the same type of filing, but the first set has its own quirks. The first accounting period can run for more than twelve months or be shortened, depending on the incorporation date and the accounting reference date, and Companies House treats first accounts differently from later years when it comes to filing deadlines. From the second year onwards, the accounts follow the company's normal annual cycle. Directors of limited companies in Allerford often find the first year is the one that needs the most explanation, simply because there is no previous filing to compare it with.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and go to different places. Accounting information from the company's accounts may well be used when working out the Corporation Tax position, but filing the accounts does not submit a CT600, and submitting a CT600 does not complete the Companies House accounts filing. The company's first Corporation Tax accounting period and its statutory accounts period may not be identical either, so both should be looked at carefully.

It can, but not automatically. Micro-entity reporting depends on whether the company meets the applicable eligibility requirements for the relevant accounting period, and a company with low activity or modest turnover does not qualify simply because it is small or newly formed. Where a company does qualify, its accounts are generally prepared under FRS 105, the financial reporting standard for the micro-entity framework. If the company does not meet the criteria, a different framework applies. We assess this as part of preparing the accounts rather than assuming a position up front.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not identical in every case. Paying any penalty does not remove the requirement to file the outstanding accounts — the filing obligation remains until it is met. Where an appeal against a penalty is considered, whether it can proceed depends on the circumstances and the applicable rules. If your first-year accounts are already overdue, the priority is to get accurate accounts prepared and filed promptly, and we can help with that.
