Dormant Company Accounts Filing in Maida Vale London

If your company has stopped trading or never started, professional Dormant Company Accounts Filing helps you prepare and file the appropriate annual accounts with Companies House where required, so your records stay in order and your filing position is clear. Our role is to review your company’s circumstances, establish whether it qualifies as dormant for Companies House purposes, prepare dormant company accounts in line with the applicable rules, and support you with the separate filings that sit alongside them. That way you know what is due, what has been submitted, and what still needs your attention.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

When Can a Company Prepare and File Dormant Accounts?

Dormant company accounts are generally relevant where a company is dormant for Companies House purposes and has had no significant accounting transactions during the relevant financial period, subject to the applicable Companies House rules and the company’s own circumstances. Before anything is prepared, it is worth establishing clearly whether the company meets that test, because the accounting treatment and the filing route can differ from company to company — and not every dormant company uses the same form or the same approach. It is also important to understand that dormancy for Companies House purposes and dormancy for Corporation Tax purposes with HMRC are two separate concepts. A company may be dormant for one purpose but not automatically for the other, and filing dormant accounts with Companies House does not by itself notify HMRC of anything or settle any Corporation Tax position. Equally, a company that has stopped trading does not simply become dormant because trading has paused — dormancy depends on the transactions that have actually taken place during the period. A company can remain registered and dormant while still carrying annual filing responsibilities, including dormant company accounts and a confirmation statement, so dormant status is not an exemption from every company filing requirement.

A company may be able to file dormant accounts where it has had no significant accounting transactions during the relevant financial year, subject to the applicable Companies House rules.

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

Dormant company accounts are the annual accounts a company prepares and files with Companies House when it has been dormant for Companies House purposes during the accounting period. They are a formal set of accounts based on the position that no significant accounting transactions took place, and they follow the format and disclosure requirements that apply to a dormant company under the relevant Companies House rules. They are still annual accounts — just a streamlined version suited to a company with no significant activity — rather than a substitute for the confirmation statement or for any HMRC filing that may be due.

Broadly, a company is treated as dormant for Companies House purposes when it has had no significant accounting transactions during the financial period in question. Certain transactions do not generally count as significant for this purpose, but the detail matters, and it depends on what has actually happened in the company's records. This is a separate test from the Corporation Tax dormancy position with HMRC, and a company can be dormant for one purpose without automatically being dormant for the other. Because the classification affects what you file, it is worth confirming your company's position before accounts are prepared rather than assuming that an inactive year means dormant accounts apply.

In most cases, yes. A company that is dormant for Companies House purposes will generally still need to file annual accounts and a confirmation statement each year, unless it has been formally dissolved or a specific rule applies to it. The confirmation statement is a separate filing from the annual accounts: it confirms that the information Companies House holds about the company — such as the registered office address, directors, shareholders and share capital — is still correct, whereas the accounts deal with the company's financial position for the period. Keeping both up to date is part of remaining a company in good standing, even when there is no trading activity to report.

Yes, they are different, because the two are prepared on a different basis. A trading company's accounts report income, expenses, assets and liabilities arising from actual activity, while dormant accounts reflect a period with no significant accounting transactions and therefore a much narrower set of information. A dormant company may also have different accounting requirements from an active trading company, and the filing route may not be identical for every dormant company. It is not safe to assume that one form or one approach fits every dormant company, so the correct treatment should be confirmed against your company's circumstances and the applicable Companies House rules.

No — these are separate concepts, and this is one of the most common sources of confusion for directors. Dormancy for Companies House purposes relates to whether the company had significant accounting transactions in the period and affects what you file as annual accounts. Dormancy for Corporation Tax purposes is an HMRC matter and depends on the company's tax position. A company can be dormant for one purpose but not the other. Filing dormant company accounts with Companies House does not automatically notify HMRC that the company is dormant, and it does not automatically remove any Corporation Tax obligations the company may have — those need to be considered separately.

A Corporation Tax Return (CT600) is a separate HMRC obligation from your Companies House annual accounts, and whether one is required depends on the company's circumstances and its tax position rather than on its Companies House dormancy alone. Being registered as dormant for Companies House purposes does not by itself settle a company's Corporation Tax position, so if you are unsure whether a return is due, it is worth checking the company's HMRC status directly. Companies House dormant accounts and HMRC filings sit in different places and should be treated as distinct tasks.

Typically we need the company's basic details, including its registered name and company number, the accounting period the accounts cover, confirmation of the company's dormant position for Companies House purposes, and details of the directors and registered office address. It also helps to know whether any transactions appear in the company's records during the period, since these can affect whether dormant accounts are the right route. If a confirmation statement is also due, we will look at the information Companies House currently holds. Once we understand the period and the activity, we can confirm what is needed and how the filing should be approached.

It can, and that is exactly why dormancy is not always straightforward. Day-to-day movements such as bank charges, small interest amounts or similar entries may not necessarily break dormancy for Companies House purposes, but the position depends on the nature and volume of the transactions and on the applicable rules. Where transactions exist that do not fit the dormant position, the correct treatment may be different, and a company can sometimes be dormant for Companies House purposes while not being dormant for tax purposes. Because of this, it is best to review the actual transactions for the period before deciding whether dormant company accounts are appropriate.

Often the company still has filing obligations for the period up to the point it is formally dissolved, so the annual accounts and any confirmation statement that fall due may still need to be dealt with, even if closure is planned. Being dormant does not remove those obligations on its own, and dissolving a company is a separate process from filing its accounts. If you are winding a company down, it is worth checking exactly what is outstanding with Companies House and what, if anything, is due to HMRC, so that the closure does not leave filings unaddressed.
