I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are the annual accounts a company prepares for Companies House when it has been dormant for the reporting period under the applicable rules, meaning it has had no significant accounting transactions. They are a formal statutory filing, not an internal note — the figures, statements and disclosures have to reflect the company’s position and follow the requirements that apply to it. Where a company is dormant, the accounting requirements can differ from those of an active trading company, and the correct presentation depends on the company’s circumstances and current Companies House rules rather than a single one-size-fits-all approach.
Broadly, a company is dormant for Companies House purposes when it has had no significant accounting transactions during the financial period. That is not the same as having no trading activity: certain small or administrative entries may be treated differently, while ordinary trading transactions such as sales, purchases, wages or payments for services generally mean the company is not dormant for that period. Because the answer turns on the company’s own transactions and the rules in force, the position should be reviewed for each financial period rather than assumed to continue from one year to the next.
In most cases, yes. A company that is dormant for Companies House purposes will generally still need to file annual accounts for the period, alongside its other annual obligations, unless the company has been formally dissolved or a specific rule applies to its situation. Dormant status is not an automatic exemption from filing. If the company has been dissolved or you are considering strike-off, that changes the position, and the filings due should be confirmed before any deadline passes.
A confirmation statement is a separate Companies House filing from dormant company accounts, and a dormant company will usually still need to deliver one. It confirms the registered details Companies House holds — such as the registered office, directors, shareholders and statement of capital — are up to date, and it is filed in addition to the accounts, not instead of them. It is worth checking that the information held at Companies House matches your records before the statement is filed, as changes need to be reported separately.
They can be, in both content and filing route. A dormant company may have different accounting requirements from an active trading company, and the accounts prepared for a dormant period tend to be shorter and simpler, reflecting that no significant transactions took place. However, dormant companies do not all share one format or one filing route — what is appropriate depends on the company’s circumstances, its accounting reference date and the Companies House rules that apply. It is not safe to assume that the same form or method suits every dormant company.
No. Dormancy for Companies House and dormancy for Corporation Tax with HMRC are separate concepts, assessed by different bodies against different criteria. A company can be dormant for one purpose and not the other, and reaching dormancy for one does not automatically mean the other applies. Filing dormant accounts with Companies House does not notify HMRC of dormancy, and it does not remove or settle any Corporation Tax obligations the company may have. If you need to clarify the Corporation Tax position, that should be dealt with separately and directly with HMRC or with an adviser experienced in Corporation Tax matters.
This depends on the company’s circumstances and on HMRCu2019s view of its position, and it is not something that Companies House dormancy decides. Corporation Tax Returns (CT600) are a separate HMRC obligation, distinct from dormant company accounts filed at Companies House, and a company may be asked to submit a return or to confirm its dormant position to HMRC even where it has filed dormant accounts. VAT Returns and payroll filings are separate obligations again, and may apply depending on the company’s registrations. Because the answer varies, it is best to confirm the position with HMRC or a tax adviser rather than assume that dormant accounts cover everything.
In practice, we usually need the company’s registered details, the accounting reference date and period being reported, confirmation of the company’s activities during that period, details of any transactions that did take place, and the company’s previous accounts and Companies House filing history. Bank statements or a simple record of movements during the period are helpful for confirming that no significant accounting transactions occurred. If anything unusual arises — for example a change of name, a share issue or the company being in the process of being closed — let us know at the outset, as it may affect how the dormant accounts are prepared and filed.
Yes. Preparing and filing dormant company accounts is straightforward work for an accountant who deals with dormant limited companies regularly, and it can save directors a good deal of time spent working out which filings still apply. The practical benefit is having the accounts prepared from accurate information, filed through the appropriate route for the company, and coordinated with the separate confirmation statement that is usually also due. It also gives you a clear point of contact when questions come up about the difference between Companies House and Corporation Tax dormancy.
Late filing can lead to consequences under Companies House rules, and the position depends on the company, the period in question and the reason for the delay. We can help you understand what is outstanding and bring the filing up to date, but no one can promise that a penalty will be removed or that a particular outcome will follow. The most useful step is to identify what is overdue as early as possible, so the outstanding filings can be dealt with in the right order.
