Dormant Company Accounts Filing in Ledbury

Running a dormant limited company in Ledbury does not automatically mean the annual filing requirements disappear. Professional Dormant Company Accounts Filing helps directors prepare and file the appropriate annual accounts with Companies House where the company qualifies as dormant, using the filing route that fits its circumstances. We work with UK companies that have little or no trading activity, reviewing the position for each accounting period and preparing dormant company accounts that reflect the company’s dormant status. Just as importantly, Dormant Company Accounts Filing sits alongside other obligations rather than replacing them. A dormant company generally still needs to file a confirmation statement, and being dormant for Companies House purposes is not the same as being dormant for Corporation Tax purposes, so HMRC obligations may also still apply. Keeping on top of dormant company accounts and related filings helps you avoid the confusion that often builds up when a company stops trading but stays registered.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

When You Can File Dormant Accounts for Your Company

Dormant company accounts are generally the right route where a company has been dormant for Companies House purposes throughout the accounting period — in broad terms, where it has had no significant accounting transactions that would take it outside the dormant definition under the applicable rules. Certain items, such as fees paid to the Registrar of Companies, are commonly disregarded, but the detail depends on the rules and on what actually happened during the period. A company does not become dormant simply because it has stopped trading; dormancy is assessed against the Companies House definition for each set of accounts, and a company could be dormant for one period and not the next. It is equally important to separate this from HMRC dormancy. A company may be dormant for Companies House purposes while still having Corporation Tax obligations, and telling HMRC that a company is dormant is a separate process that a dormant accounts filing does not carry out. Filing dormant company accounts with Companies House does not automatically notify HMRC of anything. A dormant company also remains a registered company: unless it has been formally dissolved, it will generally still need to file annual accounts and a confirmation statement, and it may have different accounting requirements from an actively trading company. Not every dormant company can use the same form or filing route either — forms sometimes associated with dormant filings, such as AA02, are not a universal fit for every dormant company — so the correct approach should be checked against your company’s circumstances before anything is submitted.

A company may be able to file dormant accounts where it has had no significant accounting transactions during the relevant financial year, subject to the applicable Companies House rules.

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

Dormant company accounts are the annual accounts a company prepares when it has been dormant for Companies House purposes during the accounting period. In broad terms, that usually means the company had no significant accounting transactions in the period, other than items the applicable rules allow to be disregarded. The accounts reflect that position rather than reporting trading income and expenditure, so they are simpler than the accounts of an actively trading company. They are still formal annual accounts filed at Companies House — they are simply prepared on the basis that the company was not actively trading. If your company had transactions, or you are unsure whether they count as significant, it is worth checking the position before assuming a dormant basis applies.

Companies House dormancy generally turns on whether the company had significant accounting transactions during the relevant period. A company that has stopped trading may still not automatically meet the definition, and certain items — for example fees paid to the Registrar of Companies — are commonly disregarded. Because the test is applied to each accounting period, dormancy is not something you decide once and forget: it needs to be considered every time accounts are due. If a company has had any activity, it is important to look at what that activity was and whether it affects the dormant position. Professional Dormant Company Accounts Filing can help you work out the correct treatment for your company's circumstances.

In most cases, yes. Being dormant for Companies House purposes does not remove the requirement to file annual accounts. Unless the company has been formally dissolved, or a specific rule applies to its situation, it will generally need to prepare and file accounts for each accounting period. A dormant company may follow a different and simpler filing route than an actively trading company, but the underlying obligation usually remains. This is why dormant company filing is best treated as a routine annual task rather than something to leave until the company is closed down. Where a rule or exemption might apply, it depends on the company's particular circumstances rather than a general rule.

A confirmation statement is a separate Companies House filing from dormant company accounts, and the two are not interchangeable. It confirms that the information Companies House holds about the company — such as directors, registered office, shareholders and share capital — is up to date. Most companies, including dormant ones, need to file a confirmation statement at least once every 12 months, even where there have been no changes to report. Filing dormant accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement. Both need to be handled, which is why many directors like to have them managed together.

No, they are separate concepts, and a company can be dormant for one purpose but not the other. Companies House looks at whether the company had significant accounting transactions during the period. HMRC looks at whether the company has Corporation Tax obligations, such as trading activity, income, chargeable gains or other liabilities. A company that has stopped trading may still need to tell HMRC separately, and it may still have Corporation Tax filing obligations. Filing dormant accounts with Companies House does not automatically notify HMRC that the company is dormant, so it is sensible to review both positions rather than assuming one follows from the other.

It depends on the company's circumstances and on HMRC's view of its position, not on whether dormant accounts were filed at Companies House. A company that has never traded and has no other taxable activity may be able to notify HMRC that it is dormant, but that is a separate process from the Companies House filing. If HMRC has issued a notice to file a return, or the company has Corporation Tax obligations, a return may still be required. It is important not to assume that a dormant accounts filing settles the Corporation Tax side of things, because Corporation Tax Returns are an entirely separate obligation where they apply.

Yes, it can — and this is one of the most common reasons a company does not qualify for a dormant filing route as expected. A dormant company may still hold a bank account, and charges or other transactions can arise. Whether those transactions affect the dormant position depends on the applicable rules and on whether they count as significant accounting transactions for the period. Some items are generally disregarded, while others can mean the company is not dormant for Companies House purposes and needs to file accounts on a different, non-dormant basis. If your company has had any bank activity, it is worth reviewing that before the accounts are prepared.

Yes. Many directors choose to have dormant company accounts prepared and filed professionally, because the rules around dormancy, the appropriate filing route and the interaction with other obligations are not always straightforward. An accountant can review the company's activity for the period, assess whether a dormant basis is appropriate, prepare the accounts accordingly and handle the Companies House filing. A professional service can also coordinate the accounts filing with the confirmation statement and flag any separate Corporation Tax considerations so nothing is overlooked. That is often far easier than trying to work out the position alone for the first time.

Let Us Handle Your Dormant Company Accounts Filing in Ledbury

One of the most common frustrations we hear from directors in Ledbury is simply not knowing whether anything still needs to be filed once a company stops trading. The company is still registered, the bank account is quiet, and yet the annual filing obligations may not have gone away. Micro Entity Accounts can take that uncertainty off your desk: we prepare dormant company accounts, manage the Companies House filing where a dormant basis applies to your company, and can support your confirmation statement so both annual filings stay in step. If you would rather spend your time on the decisions that matter than on Companies House paperwork, our team is ready to help you keep your dormant company filing organised and up to date.
