Dormant Company Accounts Filing in Knowsley

If your company has never traded, or has stopped trading altogether, professional Dormant Company Accounts Filing can help you prepare and file the appropriate annual accounts with Companies House where required. Directors of dormant companies across Knowsley often assume a quiet year means no paperwork — but dormant status does not automatically remove the requirement to file accounts or a confirmation statement. A dormant company can still have annual filing obligations unless it has been formally dissolved or another specific rule applies. Keeping your dormant company filing up to date helps ensure the information Companies House holds about your company stays accurate and complete, and it gives you a clear view of what still needs to be done each year. Our role is to help you understand which accounts are appropriate for your circumstances, prepare them properly, and file them through the correct route.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

When Can You Prepare and File Dormant Accounts?

Dormant company accounts are generally relevant where a company is dormant for Companies House purposes and has had no significant accounting transactions during the relevant accounting period — broadly, no transactions that need to be entered in the company’s accounting records, subject to the applicable rules and certain disregarded items such as fees paid to the Registrar. This is not simply a matter of deciding not to trade: a company cannot usually treat itself as dormant just because it has been quiet, and the position depends on what actually happened during the period and on the Companies House rules that apply to your company. It is also important to keep two separate ideas apart. Being dormant for Companies House purposes is not the same as being dormant for Corporation Tax purposes with HMRC, and the two are governed by different rules. Filing dormant accounts with Companies House does not, by itself, notify HMRC of dormancy or settle any Corporation Tax obligations — those are dealt with separately. A company can remain registered and dormant while still having annual filing responsibilities, including dormant accounts and a separate confirmation statement, and different dormant companies may not all use the same form or filing route. Reviewing your circumstances before you file is the safest way to establish which accounts and filing approach apply to you.

A company may be able to file dormant accounts where it has had no significant accounting transactions during the relevant financial year, subject to the applicable Companies House rules.

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

Dormant company accounts are the annual accounts a company prepares and files with Companies House when it has been dormant for Companies House purposes during the relevant financial period — broadly, where there have been no significant accounting transactions that need to be recorded in the company's accounting records. They are usually shorter and simpler than the accounts of a trading company, but the exact format and content depend on your company's circumstances and the applicable Companies House rules. Dormant company accounts are also quite separate from a confirmation statement, and from any Corporation Tax Return or other HMRC obligation.

For Companies House purposes, a company is generally treated as dormant when it has no significant accounting transactions during the accounting period. A significant accounting transaction is broadly one that must be entered in the company's accounting records, although certain items such as fees paid to the Registrar are usually disregarded. This means dormancy is not simply a label a director chooses — it reflects what actually happened in the period, so it is worth reviewing your records before you prepare and file. Being dormant for Companies House purposes is a different question from being dormant for Corporation Tax purposes, and a company can be one without automatically being the other.

In most cases, yes. A company that remains registered at Companies House generally still has annual filing obligations, including filing accounts for the relevant period, unless it has been formally dissolved or another specific rule applies. Dormant status does not remove that requirement — it usually means the accounts filed will reflect a period with no significant accounting transactions, and the format used will depend on your company's circumstances. Keeping on top of Dormant Company Accounts Filing helps you avoid the situation where a filing is missed simply because everyone assumed nothing was needed.

In most cases, yes, and it is a completely separate filing from dormant company accounts. A confirmation statement confirms that the information Companies House holds about your company — such as the directors, registered office address and share capital — is correct as at the confirmation date. Being dormant does not remove that obligation, and filing dormant accounts does not count as filing a confirmation statement either. Directors still need to check the company's details and submit the confirmation statement when it is due.

No — these are two separate concepts with two separate sets of rules. Dormancy for Companies House purposes relates to whether the company had significant accounting transactions in the period and how the annual accounts are prepared and filed. Dormancy for Corporation Tax purposes relates to whether the company is within the charge to Corporation Tax and what HMRC expects from it. A company can be dormant for one purpose but not the other. Importantly, filing dormant company accounts with Companies House does not automatically tell HMRC that your company is dormant, so you may need to notify HMRC separately and confirm the position with them.

It depends on your company's position with HMRC. A company that is dormant for Corporation Tax purposes may not need to file a Corporation Tax Return, but HMRC generally needs to be informed and will confirm whether a return is expected. If HMRC has issued a notice to file, the company is usually expected to respond to it, even where the directors consider the company dormant. This is why it is sensible to look at your Corporation Tax status separately from your Dormant Company Accounts Filing rather than assuming one resolves the other.

You will normally need your company name and company number, the accounting period the accounts cover, confirmation that the company was dormant for Companies House purposes during that period, and details of any transactions that did take place so they can be assessed. It also helps to have the previous year's accounts, the registered office and director details, and the date the last confirmation statement was filed. If anything is unclear — for example, whether a specific payment affects your dormant status — it is worth having the records reviewed before the accounts are prepared and filed.

Possibly, and it matters. A bank charge, bank interest, or a payment into or out of the company's bank account can affect whether a period counts as dormant for Companies House purposes, depending on what the transaction was and how the rules apply to it. Some items are disregarded, while others may need to be recorded and could mean the company is not dormant for that period. If money has moved through the account, it is worth having those transactions reviewed before deciding which set of accounts to prepare and file.
