Dormant Company Accounts Filing in Bushey for Inactive Companies

A company that has stopped trading, or never started, still comes with annual paperwork. Our Dormant Company Accounts Filing service in Bushey is built for directors of dormant limited companies who want their annual accounts prepared and filed with Companies House accurately and without getting lost in the rules. We look at your company’s circumstances, establish whether it is dormant for Companies House purposes for the relevant period, and prepare the appropriate dormant company accounts where they apply. Just as importantly, we keep track of the obligations that do not simply disappear: a dormant company generally still needs to file annual accounts and a confirmation statement each year unless it has been formally dissolved or another specific rule applies. Dormant status at Companies House does not switch off your filing responsibilities, and it does not automatically change your position with HMRC either. Where Corporation Tax or other separate filings are in the picture, we can help you understand what is still required so nothing important is overlooked.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

When You Can Prepare and File Dormant Company Accounts for a Bushey Company

Dormant company accounts are generally relevant where a company has been dormant for Companies House purposes throughout the accounting period in question — broadly, a period in which there have been no significant accounting transactions, subject to the applicable Companies House rules and to how those rules treat certain types of transaction. If your company has been quiet but you are not certain whether that quietness meets the definition, it is worth establishing that before anything is prepared or filed, because the answer affects what the accounts should look like and which filing route applies. Not every dormant company uses the same form or approach, and AA02 is not automatically the correct form for every dormant company, so the right starting point is always your company’s own circumstances. It is also important not to blur two separate ideas. Being dormant for Companies House purposes is not the same as being dormant for Corporation Tax purposes with HMRC, and a company can be dormant for one purpose and not the other. Filing dormant company accounts with Companies House does not automatically notify HMRC of dormancy and does not by itself resolve any Corporation Tax position, so the two should be considered separately rather than assumed. Finally, remaining registered and dormant does not remove the annual filing calendar. In most cases a dormant company still has filing responsibilities, including dormant company accounts and a separate confirmation statement, unless the company has been formally dissolved or a specific rule or exemption applies to it. Corporation Tax Returns (CT600), VAT Returns and payroll filings are all distinct obligations with their own rules and their own timing.

A company may be able to file dormant accounts where it has had no significant accounting transactions during the relevant financial year, subject to the applicable Companies House rules.

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House purposes. In broad terms, that means the company has had no significant accounting transactions during the period the accounts cover, subject to the applicable Companies House rules on what counts as significant. Rather than reporting trading income and expenses in the usual way, the accounts reflect a company that has not been financially active, and they are filed at Companies House as part of the company's annual requirements. The exact content and the filing route depend on the company's circumstances, which is why it is worth confirming your position before accounts are prepared. Dormant company accounts are also not the same thing as a Confirmation Statement, a Corporation Tax Return or a VAT Return — those are separate filings with separate purposes.

For Companies House purposes, a company is generally treated as dormant when it has had no significant accounting transactions during the relevant accounting period. This is a specific test, and it is not automatically met just because a company has stopped invoicing, has no customers, or has a quiet bank account. Some transactions may be treated differently under the applicable rules, and a single transaction in the period can change how the accounts should be prepared, so it is always best to look at what actually happened in the company rather than rely on a general impression. Keeping a clear record of any activity — bank charges, interest, professional fees or anything similar — makes it much easier to establish the correct position.

In most cases, yes. A company that is dormant for Companies House purposes generally still has to file annual accounts for each accounting period, unless it has been formally dissolved or another specific rule applies to its situation. Dormant status reduces the complexity of what those accounts contain; it does not normally act as an exemption from filing altogether. If accounts are filed later than the deadline set for the company, Companies House can apply late filing penalties, and repeated lateness tends to make the situation harder to resolve. Because the requirements depend on the company's own circumstances and the rules in force at the time, it is sensible to confirm what applies to your company rather than assume it has nothing to send.

A confirmation statement is a separate Companies House filing from dormant company accounts, and a dormant company will usually still need to file one each year. It confirms that the information Companies House holds about the company — such as the registered office address, directors, shareholders and share capital — is correct as at the confirmation date, and it gives you the chance to update anything that has changed. Filing dormant accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement. Treating them as two separate items on the annual checklist is the simplest way to stay on top of both.

No — these are two separate concepts with two separate sets of rules. Companies House dormancy is about whether the company has had significant accounting transactions in the period, while dormancy for Corporation Tax with HMRC is about the company's tax position and whether it is liable to Corporation Tax for a given period. A company can be dormant for one purpose and not the other, and the two positions need to be considered independently. Filing dormant company accounts with Companies House does not automatically notify HMRC that the company is dormant, and it does not by itself settle or remove any Corporation Tax obligation. If you are unsure where your company stands for tax purposes, that is a separate conversation worth having.

It depends on the company's circumstances and on HMRC's view of its tax position, which is why the question should not be answered by assuming that dormancy at Companies House settles it. Where HMRC has been notified that a company is dormant for Corporation Tax purposes, it may not require a Corporation Tax Return for that period, but this is not automatic and it is not triggered by filing dormant accounts at Companies House. If a return is issued or the company has a tax liability or other reporting reason, a Corporation Tax Return (CT600) is a separate HMRC obligation with its own deadlines. Directors should check their company's position with HMRC directly, or take advice, rather than rely on the Companies House filing as evidence of anything.

It can, and this is one of the most common reasons a company's position is not as straightforward as it first appears. Small transactions such as bank charges, interest or similar items can affect whether a company is treated as dormant for Companies House purposes for that period, depending on how the applicable rules treat them. That in turn can affect whether dormant company accounts are the right way to report the period at all. If any money has moved through the company, or any charge has been applied, it is worth telling your accountant about it before the accounts are prepared so the correct approach is taken from the start.

To prepare and file dormant company accounts accurately, we generally need the company's registered name and company number, its registered office address, the accounting reference date and the period the accounts will cover, along with confirmation of who the directors are and how the company's shares are held. We also need to know whether there has been any activity at all during the period — transactions, bank charges, interest, or anything else that may affect dormancy — and whether the company's details have changed since the last confirmation statement. If you have previous accounts, HMRC correspondence or details of any Companies House filings, those help build a clear picture. Once everything is in place, the dormant company accounts filing can be prepared without unnecessary back-and-forth.
