I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are the annual accounts a company files with Companies House when it has been dormant for Companies House purposes during the relevant period. They are a simplified set of accounts compared with those of a trading company, but they are still formal statutory accounts prepared in line with the applicable Companies House requirements. They are not the same thing as a confirmation statement, a Corporation Tax Return or a VAT Return, each of which is a separate filing with its own purpose and its own deadline.
Broadly, a company is treated as dormant for Companies House purposes when it has no significant accounting transactions during the accounting period. Routine items such as the issue of shares, fees paid to Companies House and certain other administrative transactions are typically disregarded, but the detail matters and depends on the facts. Having no sales is not by itself the test, and a company does not become dormant simply because the director decides it is. We look at what actually happened in the period before deciding how the accounts should be prepared and filed.
In most cases, yes. A company that is dormant for Companies House purposes will usually still need to file annual accounts and a confirmation statement each year unless it has been formally dissolved or a specific rule applies to its situation. Dormancy is not an exemption from company filing obligations. If you are unsure whether your company must file for a particular period, it is worth confirming before the deadline rather than assuming nothing is due.
A confirmation statement is a separate Companies House filing from dormant company accounts, and the two are often due in the same year. The confirmation statement confirms that the information Companies House holds about the company — such as its directors, registered office and share capital — is correct as at the confirmation date. It is not an accounts filing and it does not report profit or transactions. Many dormant companies need to submit both, so it is worth treating them as two distinct annual tasks.
No, they are separate concepts and are administered by different bodies. A company can be dormant for Companies House purposes but not for Corporation Tax with HMRC, or the other way around, depending on its activity and circumstances. Filing dormant company accounts with Companies House does not automatically tell HMRC that the company is dormant, and it does not automatically end any Corporation Tax obligations. If you want HMRC to treat the company as dormant, that generally needs to be addressed separately with HMRC.
It depends on the company's circumstances and on HMRC's view of its position. A Corporation Tax Return is an HMRC obligation and it is not the same as filing dormant company accounts at Companies House. Some dormant companies are asked to submit a return, some are not, and HMRC may still issue a notice to file or request information. Because this is an HMRC matter rather than a Companies House one, the right answer for your company should be confirmed with HMRC or your accountant rather than assumed from your Companies House status.
Any significant accounting transaction during the period can take a company outside the dormancy conditions. Common examples include receiving an invoice or paying an expense that is not a permitted administrative item, taking out or servicing a loan, buying or selling assets, or any income coming in. Bank charges and interest are a frequent grey area and depend on the facts, so they should be reviewed rather than ignored. Once a company has transactions that count, it will usually need to prepare accounts on a different basis, so it is worth checking the position early in the year.
Yes. Many directors of dormant companies in Ashtead use an accountant because the rules around dormancy, the form of accounts required and the interaction with confirmation statements and HMRC can be easy to misread. We review your period, confirm whether the dormancy conditions appear to be met, prepare the dormant company accounts, and submit the Companies House filing where required. We can also support you with your confirmation statement so your annual obligations are handled together. If it turns out your company does not qualify as dormant for that period, we will tell you and explain the alternative route.
