A confirmation statement is a filing made to Companies House that confirms the information held about your company on the public register is accurate and up to date. It is submitted as a CS01 and covers a review period. Rather than reporting financial results, it lets you confirm details such as your registered office, directors, shareholders, share capital and people with significant control — or notify Companies House where those details have changed.
If you run a UK limited company or an LLP, you will generally need to file a confirmation statement, whether your business operates from Woking, elsewhere in the UK, or trades entirely online. The requirement follows the company's registration rather than its location, so a company registered in England and Wales with a Woking address has the same filing obligation as one based anywhere else. Being dormant or not trading does not normally remove the requirement.

Yes, in most cases. A dormant company that has no accounting transactions still has a place on the Companies House register, and the register information still needs to be confirmed. Dormancy affects what you report in your accounts and to HMRC, but it does not usually remove the confirmation statement requirement. If you are unsure whether your company is treated as dormant, it is worth checking your circumstances before you assume no filing is needed.
They are two entirely separate filings. A confirmation statement confirms that the register information Companies House holds about your company is accurate and up to date — it contains no figures about profit, loss, assets or liabilities. Annual statutory accounts are the financial statements for your company's accounting period, prepared to the applicable accounting framework and filed separately. Filing one does not satisfy the requirement to file the other.
A confirmation statement goes to Companies House and deals with register information. A Corporation Tax Return (CT600) goes to HMRC and reports your company's taxable profits and reliefs for an accounting period. They are delivered to different organisations for different purposes. Submitting a confirmation statement does not deal with your Corporation Tax obligations, and it does not mean your company is compliant with every Companies House or tax requirement.
If a confirmation statement is not delivered, Companies House can take action against the company, and the register may not reflect your current details. Because the confirmation statement only confirms what Companies House already holds, any changes — a new director, a share transfer, a moved registered office, a change in PSC details — may need to be reported separately rather than simply noted on the statement.
