A confirmation statement, often called a CS01, is a filing made to Companies House that confirms the information the register holds about your company is accurate and up to date. It is not a set of accounts and it is not a tax return. It is simply your chance to check the company's recorded details — such as the registered office, directors, shareholders, share capital and people with significant control — and confirm they are correct, or update them if something has changed.
A company generally needs to file a confirmation statement at least once every 12 months, even if it is dormant or not trading. The 12-month period runs from the date of your last statement, which Companies House calls your review period. You can file more than one confirmation statement within a review period if your company information changes and you want the register updated sooner rather than later. The confirmation statement deadline is separate from your accounting period and separate from your annual accounts deadline, so it is worth keeping the two dates distinct in your diary.
In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement, because the statement is about confirming the register is accurate rather than reporting profit or activity. A dormant company still has a registered office, directors and usually shareholders, and Companies House needs to know that record is still correct. If you are unsure whether your company's particular circumstances affect this, it is worth taking advice before assuming a filing is not needed.
You should check the registered office address, the details of directors and any secretary, the shareholders and share capital, the statement of capital, and the people with significant control information. It is also worth confirming your SIC code still reflects what the company does. Some changes cannot simply be noted on the confirmation statement — certain updates, such as appointing or resigning a director, changing the registered office, or altering share capital, may need to be reported separately to Companies House, often within a set period, rather than waiting for the next statement.
No, these are three separate filings. A confirmation statement confirms that the information Companies House holds about the company is accurate. Annual accounts report the company's financial position and performance for an accounting period. A Corporation Tax Return, sometimes referred to as a CT600, is filed with HMRC to report the company's taxable profits and work out the corporation tax due. Filing one does not satisfy the others, and each has its own deadline and its own purpose.
If a confirmation statement is not filed, the company falls behind on its Companies House filing obligations. Companies House can take action against the company and its directors, and the consequences can escalate the longer the filing remains outstanding. It can also cause practical difficulties, such as problems when opening bank accounts or providing evidence of good standing to lenders or counterparties. Because the exact consequences depend on the company's circumstances and how late the filing is, the safest approach is to bring the record up to date as soon as you realise something has been missed.
