A confirmation statement is the filing used to confirm that the information Companies House holds about your company is accurate and up to date as at a particular date. Most companies registered in the UK need to deliver a confirmation statement, including companies that are actively trading, companies that are dormant, and companies that are not trading but have not been dissolved. Being dormant or having no income does not normally remove the requirement. If you are unsure whether your company is due to file, or whether anything on the register needs changing first, it is worth checking your company's filing history and next confirmation date at Companies House.
A company generally needs to file a confirmation statement at least once every 12 months, based on its review period. That review period is tied to the confirmation statement date, not to your accounting period or your annual accounts deadline — the two run on separate timetables. A company can also file more than one confirmation statement within a review period if it wants to confirm changes sooner rather than waiting for the next scheduled statement.
Yes, in most cases. A dormant company still has a record on the Companies House register, and that record still needs to be confirmed. Dormancy affects what you report for tax and accounting purposes; it does not normally remove the confirmation statement obligation. If your company is dormant, the confirmation statement is a good opportunity to check that the registered office, directors and shareholder details are all still correct.
They are two completely separate filings. A confirmation statement confirms that your company's registered details are accurate — names, addresses, directors, shareholders, PSC information and similar. Annual accounts are the financial statements showing your company's position and performance for the accounting period. Filing one does not satisfy the requirement for the other, and the deadlines do not necessarily fall at the same time.
No. A Confirmation Statement Filing is made at Companies House, while a Corporation Tax Return (CT600) is made to HMRC. The confirmation statement deals with company information on the public register; the CT600 deals with taxable profits and tax due. A company can be required to do both, and neither replaces the other. The same is true of VAT Returns, which are a separate HMRC obligation.
Failing to deliver a confirmation statement when it is due is a breach of the filing requirement, and Companies House can take action — including starting the process to strike the company off the register. Leaving it unfiled can also cause problems later, for example if you need to open a bank account, secure finance or provide evidence of your company's standing. Because consequences depend on individual circumstances and how long the filing is outstanding, the safest approach is to get the filing back up to date as soon as possible.
