Where something on the register has changed, the confirmation statement is the point at which you confirm the position and, where necessary, make sure the change has been reported correctly.

Most UK limited companies need to file a confirmation statement, and the same applies to many LLPs and companies limited by guarantee. If your company is registered at Companies House, you should assume you have a filing requirement unless you have been advised otherwise. If you are unsure whether your particular company structure falls within scope, it is worth checking your position rather than leaving the filing unsubmitted.

A company generally needs to file a confirmation statement at least once every 12 months, counted from the date of the previous statement or from incorporation. You can also file more than one confirmation statement during a review period if your information changes and you want to bring the register up to date — this is sometimes useful where there has been a significant change in the course of the year. Filing your confirmation statement early does not shorten the 12-month review period.
