If something has changed — a director has moved, shares have been transferred, or a PSC's details have shifted — the register may need updating. Some changes need to be reported through a separate notification rather than being corrected only on the confirmation statement.
In most cases, yes. Being dormant or not trading does not normally remove the obligation to file a confirmation statement, because the filing is about the accuracy of the register rather than about trading activity or profit. A dormant company may have fewer changes to report, but the statement is still generally due at least once every 12 months.
No. These are separate filings with different purposes. The confirmation statement confirms that Companies House holds accurate information about your company. Annual accounts report your company's financial position and performance to Companies House, and a Corporation Tax Return (CT600) is filed with HMRC to report taxable profits and calculate Corporation Tax. A confirmation statement does not report profits, calculate tax or replace either of those filings.
If a confirmation statement is not filed when it is due, the company is in breach of its filing obligation, and Companies House may take action. That can include penalties or steps towards removing the company from the register.
