A confirmation statement — often called form CS01 — is the filing a company sends to Companies House to confirm that the information held on the public register about that company is accurate and up to date. Confirmation Statement Filing is the submission of form CS01 to Companies House. It confirms that the information the register holds about your company — such as the registered office address, directors, shareholders, people with significant control and share capital — is accurate and up to date. It is not a financial filing and it does not replace annual accounts or any tax return. Think of it as a check-in with Companies House rather than a set of figures.
Most UK limited companies, including those based in Middlesbrough, need to file a confirmation statement. That covers companies limited by shares and by guarantee, single-director companies, and companies that are dormant or not currently trading. Being dormant normally means there are no accounting transactions to report, but it does not usually remove the confirmation statement requirement, because Companies House still needs to know that the details on the register are correct.
Companies generally need to file a confirmation statement at least once every 12 months, even if nothing has changed since the last one. The confirmation statement then acts as your confirmation that everything held on the register is correct.
They are two separate filings with different purposes. Annual accounts are the financial statements covering your company's accounting period and they contain the numbers, prepared to your accounting reference date. A confirmation statement is a non-financial confirmation that your company details at Companies House are up to date, and it follows its own 12-month review cycle. Filing one does not satisfy the requirement to file the other, and the deadlines are usually different.
A Corporation Tax Return, form CT600, is filed with HMRC and reports your company's taxable profits so the Corporation Tax due can be calculated. A confirmation statement is filed with Companies House and confirms the accuracy of your company's public record — it contains no tax calculations and is not used to report income or expenses. They go to different organisations on different deadlines, so filing one does not cover the other.
If a confirmation statement is not filed when it is due, Companies House can record the company as being in default and may take action in line with its published procedures — in serious or repeated cases this can include starting the process to strike the company off the register. Missing a confirmation statement does not automatically mean your accounts or tax filings are wrong, but it does leave your public record out of date. It is far simpler to file promptly or to have someone manage the filing dates on your behalf.
