Most UK limited companies need to deliver a confirmation statement at least once every 12 months, whether they are actively trading or not. That includes dormant companies, non-trading companies, companies limited by guarantee and other entities registered at Companies House. Sole traders and ordinary partnerships are not registered at Companies House in the same way, so they normally do not have a confirmation statement to file. A company generally needs to file a confirmation statement at least once every 12 months, counted from its confirmation date. This cycle is separate from the company's accounting period and from the annual accounts deadline, so the two dates should not be confused. Yes. Being dormant or not trading does not usually remove the requirement to file a confirmation statement. A dormant company still has a registered office, directors and shareholders on the register, and the confirmation statement is how those details are confirmed. Dormant companies may have different arrangements for filing accounts, but that is a separate matter from the confirmation statement itself.
No. Annual accounts report the company's financial position and performance for an accounting period, and they are filed at Companies House in a prescribed format. A confirmation statement is an administrative filing that confirms the company's statutory information is correct. They have different content, different purposes and different deadlines, and delivering one does not satisfy the requirement to deliver the other.
A Corporation Tax Return (CT600) is submitted to HMRC and reports the company's taxable profits and the tax it owes. A confirmation statement is submitted to Companies House and deals only with company information such as officers, shareholders, share capital and the registered office. They go to different organisations for different reasons, and a confirmation statement never reports profit, tax or any other financial figure.
