A confirmation statement is a Companies House filing that confirms the information held about your company on the public register is accurate and up to date. It is not a financial document — it does not report profit, tax or trading activity. Instead, it gives you an opportunity to check details such as your registered office address, directors, shareholders and people with significant control, and to confirm they are still correct or update them where something has changed.
Any company registered at Companies House that has not been dissolved will normally need to file a confirmation statement, whether it trades in Liversedge or anywhere else in the UK. That includes companies limited by shares, companies limited by guarantee, public limited companies, dormant companies and companies that have had no activity during the review period. If you are unsure whether your company is affected, we can review your circumstances and explain the position clearly.
A company generally needs to file a confirmation statement at least once every 12 months, which Companies House refers to as the review period. The confirmation statement is usually due shortly after the end of that review period. Yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. A dormant company still has directors, shareholders and a registered office address, and Companies House still needs to know that the information on the register is accurate. Filing a confirmation statement is a separate exercise from preparing dormant accounts or dealing with any tax position, and the two should not be confused.
No — they are three separate filings with different purposes and different deadlines. The confirmation statement confirms that the information Companies House holds about the company is correct. Annual accounts set out the company's financial position and performance for an accounting period and are filed with Companies House. A Corporation Tax Return (CT600) is submitted to HMRC to report taxable profits and work out the Corporation Tax due. Filing one does not satisfy the requirement or deadline for the others, and the confirmation statement should never be treated as a replacement for accounts or a tax return.
Companies House takes overdue filings seriously. If a confirmation statement is not filed, the company's record can show as overdue on the public register, and continued failure can lead to action being taken, including steps towards striking the company off. An overdue filing can also cause practical problems later, for example when opening a bank account, applying for finance or completing a sale of the business. Sorting it out promptly is by far the simplest approach.
