A company generally needs to file a confirmation statement at least once every 12 months, based on its own review period rather than the tax year or your accounting period. You are not restricted to one filing — if information changes during a review period, you can file an additional confirmation statement to bring the register up to date. Your confirmation statement deadline is separate from your accounts deadline and your Corporation Tax Return deadline, so it is worth tracking it independently.

The confirmation statement confirms that the register is correct. That means checking your registered office address, the details of your directors and company secretary, your shareholders and share capital, and your people with significant control. Your SIC code — the code describing your company's business activity — may also need checking. Yes. Being dormant does not normally remove the obligation to file a confirmation statement. Dormant companies still appear on the public register at Companies House, so the information held about them still needs to be confirmed as accurate at least once every 12 months. What a dormant company may not need to do is file the same accounts or tax returns as a trading company, but that is a separate question from the confirmation statement.

They are two distinct filings with different purposes. Annual accounts are financial statements showing your company's financial position and performance for an accounting period, and they must be prepared in the required format. A confirmation statement contains no financial figures at all — it simply confirms that the company information on the Companies House register is correct. They usually have different deadlines, and filing one does not satisfy the requirement to file the other.

A confirmation statement goes to Companies House and confirms company information. A Corporation Tax Return, often called a CT600, goes to HMRC and reports your company's taxable profits and calculates the Corporation Tax due.
