In general, UK limited companies, limited liability partnerships and certain other registered entities need to file a confirmation statement. This applies whether the company is actively trading, non-trading or dormant. There are limited exceptions depending on the type of entity and its circumstances, so if you are unsure whether your particular structure is affected, it is worth checking your position or asking an accountant who deals with Companies House filings regularly.
A company generally needs to file a confirmation statement at least once every 12 months, based on its confirmation statement date rather than its accounting period. Importantly, you can file more than once during a 12-month review period if your company information changes — for example after a share transfer, a change of director or a change of registered office. Companies House sends a reminder when the statement is due, but the responsibility to file on time rests with the company and its directors.
The confirmation statement asks you to review the information Companies House already holds and confirm it is correct. Yes — dormancy does not usually remove the requirement to file a confirmation statement. A dormant company with no significant accounting transactions still appears on the public register, so Companies House still needs the record confirmed at least once every 12 months. Being dormant may affect what you have to file elsewhere, such as whether you prepare full statutory accounts, but it does not generally exempt you from the confirmation statement itself.
They are two separate filings with different purposes. A confirmation statement confirms that your company information at Companies House is accurate — it is about the corporate record, not money. Annual accounts, by contrast, report your company's financial position and performance for an accounting period, including figures such as assets, liabilities and profit or loss. Because HMRC and Companies House are different bodies with different filing duties, one does not satisfy the other — you may need to complete both, depending on your company's circumstances.
