A confirmation statement is a document filed with Companies House to confirm that the information held about your company is accurate and up to date. It covers details such as the registered office address, directors, shareholders, share capital, people with significant control and the company's SIC code. It is a standalone filing and is not the same as annual accounts or a Corporation Tax Return, so filing it does not satisfy those other obligations.
Generally speaking, a UK limited company must file a confirmation statement at least once every 12 months, even if it has not traded, has made no profit, or is dormant. Companies limited by guarantee and limited liability partnerships are also usually required to confirm their information at Companies House. If you are unsure whether your particular structure or circumstances fall within the requirement, it is worth checking your position rather than assuming you are exempt.
Companies normally need to file a confirmation statement at least once every 12 months, calculated from the date of the previous statement. This 12-month window is often called the review period. You can file more than one confirmation statement within a review period if your company information changes and you want the public record updated sooner, and multiple filings are permitted rather than restricted to one a year.
The statement confirms the details Companies House already holds, including the registered office address, the directors and company secretary, the shareholders and their shareholdings, the statement of capital, the people with significant control, and the SIC code describing the company's activities. If any of those details have changed, the information may need to be updated. Some changes, such as a change of registered office or the appointment of a new director, usually have to be notified separately rather than left until the confirmation statement is due.
Yes, in most cases. Dormancy and a lack of trading activity generally do not remove the requirement to file a confirmation statement, because the statement is about confirming that your company's details are correct, not about reporting profits or activity. A dormant company may have fewer changes to report, but the filing itself is usually still required every 12 months.
These are three separate filings with different purposes. A confirmation statement tells Companies House that the information on the public register is accurate. Annual accounts report the company's financial position and performance and go to Companies House and, in many cases, HMRC. A Corporation Tax Return (CT600) is a tax filing submitted to HMRC to report the company's taxable profits. Meeting one of these deadlines does not mean the others have been dealt with.
Failing to file a confirmation statement when it is due can lead to action from Companies House, and the company's record can fall out of date, which may cause problems later with banks, customers or other parties who check the register. Because the consequences depend on the individual company's circumstances and how long the delay continues, it is best to bring the filing up to date as soon as you realise it has been missed, or to seek professional help in doing so.
