A confirmation statement is a filing submitted to Companies House, often called a CS01. It is not a financial document, so it does not report turnover, profit or tax — it simply confirms the corporate record.
If your company is registered at Companies House, then in most cases you will need to file a confirmation statement at least once every 12 months, based on the company's review period. This applies to companies based in Gillingham just as it does anywhere else in the UK. The requirement follows the review period rather than the company's financial year, so the confirmation statement deadline and the annual accounts deadline are not the same thing.
Generally, a company must file a confirmation statement at least once every 12 months, calculated from its review period. In general, yes. Dormancy and non-trading status affect how a company reports for accounts and tax purposes, but they do not normally remove the need to file a confirmation statement. A dormant company still appears on the public register, so Companies House still expects confirmation that its details are accurate each review period — even where absolutely nothing has changed since the last filing.
They are two entirely separate filings. A confirmation statement confirms that the company's corporate information held by Companies House is accurate and up to date — who the directors are, where the company is registered, who the shareholders are and similar details. Annual accounts are a financial report showing the company's position and results for its accounting period. Each has its own deadline, and completing one does not satisfy the requirement to complete the other.
A Corporation Tax Return (often called a CT600) is submitted to HMRC and deals with the company's taxable profits and Corporation Tax position. A confirmation statement goes to Companies House and has nothing to do with profit calculations, tax liabilities or allowances. Different recipient, different purpose, different content and a different deadline, so it is important not to treat one as a substitute for the other.
If a confirmation statement is not filed when it is due, Companies House may take action. The company's record will be out of date, which can cause practical problems with banks, lenders and anyone running checks on the company.
