A confirmation statement is a filing made to Companies House that confirms the information held about your company is accurate and up to date. It is often referred to as a CS01. It is not a financial document and it does not replace your annual accounts or your Corporation Tax Return. Its job is to keep the public register correct, so anyone checking your company record sees the right directors, shareholders, registered office and other key details.
If your company is registered at Companies House, you will generally need to file a confirmation statement at least once every 12 months, wherever in the UK you are based — including Feniton. That applies whether the company is actively trading, dormant, not currently trading, or simply sitting quietly between projects. Limited liability partnerships are also normally within scope. If you are unsure about your own company's position, it is worth checking your filing history at Companies House or asking an accountant to confirm.

Yes, in most cases a dormant company still needs to file a confirmation statement. Dormancy affects what you report for accounting and tax purposes, but it does not normally remove the obligation to confirm that your Companies House record is correct. A dormant company still has directors, shareholders, a registered office and a confirmation date, and Companies House still needs to know that information is up to date.
They are two completely separate filings with different purposes. A confirmation statement confirms that the information on the public register is correct — who the directors are, who the shareholders are, where the company is registered and so on. Annual accounts report the company's financial position and performance for an accounting period. Filing one does not satisfy the other, and both have their own deadlines. A confirmation statement is also different again from a Corporation Tax Return (CT600), which is filed with HMRC rather than Companies House.
If a confirmation statement is not filed, Companies House can take action. The company's record falls out of date, and continued failure to file can ultimately lead to the company being struck off the register. Beyond the formal consequences, an outdated record can cause practical problems — banks, customers, suppliers and lenders may check your Companies House information and see details that no longer reflect reality. Bringing the filing up to date as soon as possible is usually the sensible step.
