A confirmation statement is a document filed at Companies House that confirms the information held about your company is accurate and up to date. It covers details such as the registered office address, directors, shareholders, share capital and people with significant control, and you confirm whether that information is correct at the date of the statement. It is not a financial document: it does not include turnover, profit or tax figures, and it is not sent to HMRC.
Any company registered at Companies House will normally need to file a confirmation statement, including companies based across East Anglia. That covers limited companies, companies limited by guarantee, and dormant or non-trading companies that remain on the register. The requirement follows the company's registration rather than where it trades or where its directors live, so an East Anglia company with no activity still has a filing obligation, and the same rules apply across the UK.
A company generally needs to file a confirmation statement at least once every 12 months. That 12-month window is known as the review period and runs from the date of incorporation, or from the date of your last statement. Companies House normally expects the statement to be delivered within 14 days of the end of the review period. You are not restricted to one filing a year, though — if your information changes, you can file an additional confirmation statement within the same review period so the public record is updated sooner.
Before filing, it is worth reviewing your registered office address, your directors and company secretary, your shareholders and share capital, your people with significant control, and your SIC codes or principal business activity. The confirmation statement confirms the position at the date you file it. It is important to remember that some changes — such as appointing or resigning a director, or moving the registered office — must also be reported to Companies House on the relevant separate form, rather than being left until the confirmation statement is due.
In most cases, yes. A company that is dormant or not trading but is still registered at Companies House will normally still need to file a confirmation statement. Dormancy affects your accounts and your tax position, not the requirement to confirm that Companies House holds the right information about your company. A dormant company's statement is often quick to complete because there is little or nothing to change, but it still needs to be submitted.
They are separate filings with different purposes and different destinations. A confirmation statement confirms the company information Companies House holds and is filed at Companies House. Annual accounts are the company's financial statements, also filed at Companies House but on a timetable linked to the accounting reference date. A Corporation Tax Return (CT600) is submitted to HMRC and deals with tax. Completing one does not satisfy the others, and each has its own deadline.
Companies House can take action against companies that do not file their confirmation statement, and an overdue filing leaves the public record out of date, which can cause problems when banks, customers or suppliers check your details. Persistent non-filing can ultimately put the company at risk of being struck off the register, and directors may face consequences. If you have missed one or are unsure where you stand, it is best to deal with it promptly rather than leaving it.
